Toro Corp. (TORO) set October 1, 2026 as the record date for the proposed spin-off of its wholly owned LPG carrier subsidiary AI OKTO CORP., with the distribution of AI OKTO common shares expected on or about October 8, 2026.

Toro shareholders of record are expected to receive one AI OKTO share for every eight Toro common shares held at the close of business on the record date. The spin-off remains subject to the effectiveness of AI OKTO’s Form 20-F registration statement and approval of AI OKTO’s listing on the Nasdaq Capital Market. Toro common shares are expected to trade with due bills from the record date through the distribution date, so buyers during this period will receive, and sellers will forgo, the AI OKTO distribution tied to those shares.

Key Terms

form 20-f, due bills, due-bill obligations
3 terms
form 20-f regulatory
"registration statement on Form 20-F filed with the Securities and Exchange Commission"
Form 20-F is the standardized annual disclosure that non-U.S. companies must file with the U.S. securities regulator when their shares are traded in the U.S.; it contains audited financial statements, a plain-language description of the business, management discussion, governance details and key risk factors. It matters to investors because it provides a consistent, comparable company “report card” and rulebook, helping buyers assess financial health, governance and risks before investing.
due bills financial
"Toro common shares are expected to trade with due bills from the Record Date"
Due bills are short-term promises to pay for goods or services received earlier but not yet paid for. They act like an IOU, indicating that the buyer owes money to the seller. For investors, due bills matter because they can affect the timing of payments and the true value of a transaction, impacting financial clarity and decision-making.
due-bill obligations financial
"Due-bill obligations are customarily settled between the brokers"
A due-bill obligation is a broker or seller's promise to transfer a cash payment or security entitlement to the buyer later when a corporate distribution (like a dividend, spin-off, or rights offering) is declared after the trade but before record date. Think of it like a note passed between buyer and seller so the person who owned the share at the relevant cut-off receives the payout; it matters because it determines who actually gets corporate payouts and can create short-term payment or delivery adjustments in a trade.

LIMASSOL, Cyprus, Sept. 21, 2026 (GLOBE NEWSWIRE) -- Toro Corp. (NASDAQ: TORO) (“Toro,” or the “Company”), a global energy transportation services provider, announces that, in relation to the previously announced spin-off of its wholly owned subsidiary, AI OKTO CORP. (“AI OKTO”), the record date has been set to October 1, 2026 (the “Record Date”), and the Company expects to complete the distribution of AI OKTO common shares on or about October 8, 2026. In the spin-off, Toro shareholders will receive one common share of AI OKTO for every eight Toro common shares held at the close of business on the Record Date.

Additional information regarding AI OKTO and the proposed spin-off transaction may be found in AI OKTO’s registration statement on Form 20-F filed with the Securities and Exchange Commission pursuant to the Securities Exchange Act of 1934. The proposed distribution and spin-off remain subject to, among other things, the registration statement on Form 20-F being declared effective and the approval of the listing of AI OKTO’s common shares on the Nasdaq Capital Market (“Nasdaq”). There can be no assurance that the distribution or the spin-off will occur or, if they do occur, of their terms or timing. A copy of the registration statement on Form 20-F is available at www.sec.gov. The information in the filed registration statement on Form 20-F is not final and remains subject to change.

As a result of “due bill” trading procedures expected to be established by Nasdaq, Toro common shares are expected to trade with due bills from the Record Date through and including the date of the distribution of the AI OKTO common shares. Accordingly, holders of Toro common shares as of the Record Date will need to hold such shares through and including the distribution date in order to receive the AI OKTO common shares distributed in the proposed spin-off.

This would mean that holders who purchase Toro common shares during the due bill period (even if the trades are to be settled after the due bill period) will be entitled to receive the spin-off distribution with respect to those shares. Conversely, sellers who sell Toro common shares during the due bill period (even if the trades are to be settled after the due bill period) will not be entitled to the spin-off distribution with respect to those shares.

Due bills obligate a seller of securities to deliver the distribution payable on such securities to the buyer. The due-bill obligations are customarily settled between the brokers representing buyers and sellers of the securities. The Company has no obligation for either the amount of the due bill or the processing of the due bill. Buyers and sellers of Toro’s common shares should consult their brokers before trading to ensure they understand the effect of Nasdaq’s due-bill procedures.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

What conditions must be met before Toro completes the AI OKTO spin-off?

The proposed distribution and spin-off are subject to AI OKTO’s registration statement on Form 20-F being declared effective under the Securities Exchange Act of 1934 and to the approval of the listing of AI OKTO’s common shares on the Nasdaq Capital Market. The company also cautions that there can be no assurance that the distribution or the spin-off will occur, or, if they do occur, of their terms or timing.

How does the due-bill trading period affect who receives AI OKTO shares?

Nasdaq is expected to implement due bill procedures from the October 1, 2026 record date through and including the AI OKTO distribution date. Holders of Toro shares as of the record date must hold those shares through the distribution date to receive AI OKTO shares. Buyers of Toro shares during the due-bill period will be entitled to the spin-off distribution for those shares, while sellers during this period will not, even if trades settle after the due-bill period. Due-bill obligations are settled between brokers, and Toro has no responsibility for the amount or processing of due bills.
