TWO (TWOD) plans to voluntarily delist its 9.375% Senior Notes due 2030 from the NYSE and deregister them under the Exchange Act.
The company expects to file Form 25 with the SEC on or about September 24, 2026, with delisting effective 10 days later and the last trading day anticipated to be October 2, 2026. Following a merger with CrossCountry Mortgage, TWO satisfied and discharged its obligations under the indenture. CrossCountry Intermediate HoldCo, LLC has commenced an offer to repurchase all outstanding Notes at $26.3841 per Note, equal to 104% of the $25.00 principal amount, plus accrued interest, and has deposited $123.1 million with the trustee to fund the offer, future interest and redemption. Any Notes not tendered are expected to be redeemed on May 17, 2027 at par plus accrued interest.
Two Harbors Investment Corp. (TWOD) has launched an offer, via CrossCountry Intermediate HoldCo, to repurchase all $115.0 million of its 9.375% Senior Notes due 2030 at a cash price of $26.3841 per Note, with settlement on October 14, 2026.
The offer, made under the Notes’ indenture, expires at 5:00 p.m. New York City time on October 13, 2026 and is expected to total about $121.4 million if all Notes are tendered. Concurrently, TWO has satisfied and discharged the indenture and the Offeror has deposited $123.1 million with the Trustee to fund the tender, remaining interest, and the redemption of any untendered Notes. Any Notes not repurchased will be redeemed on May 17, 2027 at 100% of principal plus accrued interest, with the Redemption Price per Note expected to be $25.0130. TWO intends to delist the Notes from the NYSE and terminate its Exchange Act reporting obligations.
