qualified notice regulatory
A qualified notice is a formal communication that meets the specific wording, timing and delivery rules set out in a contract, corporate policy or law so it is legally effective. Think of it like a certified letter that ticks every checkbox required by an agreement. Investors care because only a qualified notice can trigger rights or changes — such as deadlines, payments, defaults or board actions — and thus can materially affect a company’s obligations and share value.
treasury regulation section 1.1446-4(b)(4) and (d) regulatory
Parts (b)(4) and (d) of Treasury Regulation section 1.1446 are specific IRS rules that explain how withholding and certification work when U.S. partnerships pay income that’s effectively connected with a trade or business to foreign partners. They set procedures for when withholding must occur, how partners can provide statements or certificates to reduce or avoid withholding, and how payors should report and deposit amounts withheld. For investors, these rules affect cash flow and tax paperwork when partnerships have non‑U.S. partners, similar to a rulebook that tells payors when to hold back tax and what paperwork frees funds.
withholding agents regulatory
A withholding agent is an entity (often an employer, broker, or payer) that is legally required to hold back and remit taxes or other required amounts from payments made to a recipient, such as wages, dividends, interest, or contractor fees. For investors, this matters because withheld amounts affect the cash they receive, determine tax reporting and potential refunds, and influence net returns in cross-border or taxable transactions — like a cashier keeping part of a payment to cover a bill.
incentive distribution rights financial
Incentive distribution rights are a contractual claim held by a partnership’s managing partner that gives them an increasing share of the cash distributions as the business reaches higher payout thresholds. Think of it like a sliding commission for the manager: as the partnership generates more distributable cash, the manager keeps a bigger slice and the remaining owners get less. That allocation matters to investors because it directly affects the cash yield they receive and can change incentives for growth versus steady payouts.

Qualified Notice

This release serves as qualified notice to nominees as provided for under Treasury Regulation Section 1.1446-4(b)(4) and (d). Please note that one hundred percent (100%) of Energy Transfer LP’s distributions to foreign investors are attributable to income that is effectively connected with a United States trade or business. Accordingly, all of Energy Transfer LP’s distributions to foreign investors are subject to federal tax withholding at the highest applicable effective tax rate. Nominees, and not Energy Transfer LP, are treated as withholding agents responsible for withholding distributions received by them on behalf of foreign investors. For purposes of Treasury Regulation section 1.1446(f)-4(c)(2)(iii), brokers and nominees should treat one hundred percent (100%) of the distributions as being in excess of cumulative net income for purposes of determining the amount to withhold.
