Recent Company History

Over the last few months, VersaBank has highlighted recognition for its Founder and President (May 29, 2026), scheduled its Q2 2026 results call, and advanced innovation via an AI-enabled Real-Time Structured Receivable Program (April 29, 2026). It also renewed a Normal Course Issuer Bid to repurchase up to 2,000,000 shares and began receiving QCAD deposits, which coincided with a 9.89% move. Today’s S-4 filing and proposed U.S. bank holding company structure fit into this broader evolution of its business and capital framework.

4 terms
form s-4 registration statement regulatory
"today announced it has publicly filed a Form S-4 registration statement..."
Form S-4 is the U.S. Securities and Exchange Commission filing companies use when they offer or exchange securities as part of a merger, acquisition, or similar corporate deal. It collects the deal’s full playbook — reasons, terms, financial statements and risks — so investors can understand how the transaction will change ownership, value and potential dilution; think of it as the detailed instruction manual and ingredient list for a major business combination.
u.s. securities and exchange commission regulatory
"with the U.S. Securities and Exchange Commission (the "SEC") in connection..."
The U.S. Securities and Exchange Commission is a government agency responsible for overseeing the stock market and protecting investors. It sets rules to ensure that companies share truthful information and that trading is fair, helping to maintain trust in the financial system. This oversight is important because it helps prevent fraud and ensures that investors can make informed decisions.
office of the superintendent of financial institutions regulatory
"including approval by the Office of the Superintendent of Financial Institutions..."
An Office of the Superintendent of Financial Institutions is a government regulator that supervises banks, insurers, pension plans and other federally regulated financial firms to keep them safe and sound. Its role matters to investors because it sets rules, performs exams and can require fixes or intervene to prevent failures—much like a building inspector for financial companies—so its actions influence a firm’s stability, regulatory risk and ultimately its share or bond value.
federal reserve board regulatory
"and the Federal Reserve Board in the United States."
The Federal Reserve Board is the central group of policymakers that oversees the nation’s central bank and sets rules about interest rates, bank supervision, and the supply of money. Think of it as a steering committee for the economy: its decisions influence borrowing costs, inflation, and lending, so investors watch it closely because changes can affect company profits, stock prices, bond yields, and overall market confidence.

VersaBank also owns Minnesota-based DRT Cyber Inc., a North American leader in the provision of cyber security services to address the rapidly growing volume of cyber threats challenging financial institutions, multi-national corporations and government entities. Through DRT Cyber Inc., VersaBank owns proprietary intellectual property and technology to enable the next generation of digital assets for the banking and financial community, including the Bank's revolutionary and proprietary Real Bank Tokenized Deposits.
