“Closing this $60 million sale-leaseback shows how we put our real estate to work,” said J.W. Roth, Founder, CEO and Chairman of VENU. “This capital positions us to retire our bridge financing and complete construction as we prepare to open the doors in McKinney, with a partner of STORE Capital’s caliber at our side. Sale-leasebacks and public-private partnerships give us flexible, non-dilutive ways to fund our growth. This is another proof point that our model works, and we are just getting started as we build something this country has never seen in live entertainment.”

“We are pleased to partner with VENU on this transaction and to support its continued growth in one of the fastest-growing markets in the country. VENU has built a differentiated, experience-driven platform anchored by high-quality real estate, and Sunset Amphitheater at McKinney is exactly the kind of mission-critical, long-term asset STORE Capital seeks to own. We look forward to a lasting relationship as VENU expands its footprint nationwide,” said Mary Fedewa, President and CEO of STORE Capital.

Sunset Amphitheater at McKinney, a 20,000-capacity, multi-season venue serving the Dallas-Fort Worth market, is expected to open in the first quarter of 2027. Proceeds from the sale-leaseback are expected to be used to repay the Company’s approximately $20 million bridge financing from Ryan, LLC and to fund the completion of construction of Sunset Amphitheater at McKinney.

VENU currently operates venues in Colorado Springs, Colorado, and Gainesville, Georgia, with projects under development in Broken Arrow, Oklahoma; Houston, Frisco, and El Paso, Texas; and Chattanooga, Tennessee; and has a national footprint that continues to grow.

An Innovative Model Driving National Expansion

VENU is powered by a differentiated financing approach that combines fractional ownership, public-private partnerships, sale-leaseback structures, and C-PACE financing to enable capital-efficient expansion across underserved markets. This model allows the Company to reduce debt, accelerate development timelines, and retain control of valuable real estate assets while generating diversified revenue through sponsorships, ticketing, premium hospitality, and its signature Luxe FireSuites program. Key Terms

sale-leaseback financial
A sale-leaseback is a deal where an owner sells an asset—commonly real estate or equipment—to another party and immediately rents it back so they can keep using it. For investors, it matters because the seller converts a fixed asset into cash without disrupting operations, which can boost liquidity or pay down debt but also creates ongoing lease payments and long-term obligations that affect cash flow and the balance sheet.
reit financial
A real estate investment trust (REIT) is a company that owns, operates, or finances income-producing real estate, like shopping centers, apartments, or office buildings. For investors, REITs offer a way to invest in real estate without having to buy property directly, often providing regular income through dividends. They function like a mutual fund for real estate, making it easier for people to add property investments to their portfolio.
net-lease financial
A net-lease is a property lease where the tenant pays, in addition to base rent, some or all ongoing property costs such as taxes, insurance and maintenance. Like renting a car where you also cover fuel and insurance, this shifts routine expenses and some risk from the owner to the tenant, giving investors steadier, more predictable cash flow but less control and potentially lower upside if costs rise or a tenant leaves.
c-pace financing financial
C-PACE financing is a long-term loan repaid through a special property tax assessment that funds energy efficiency, renewable energy, or resilience upgrades on commercial or multifamily buildings. For investors, it matters because the cost is attached to the property rather than the owner, like adding a utility bill to the tax statement, which can improve a building’s value and operating costs but also changes cash flow and the property’s payment priority for lenders.
