WISeKey and Its Subsidiary WISeSat.Space Corp. Announce Filing of
Registration Statement on Form F-4 with the U.S. Securities and Exchange Commission

Canton of Zug, Switzerland— June 24, 2026 — WISeKey International Holding Ltd. (“WISeKey”) (SIX: WIHN; Nasdaq: WKEY), a global leader in cybersecurity, digital identity and IoT, and its subsidiary WISeSat.Space Corp. (“WISeSat”) today announced the filing of a registration statement on Form F-4 with the U.S. Securities and Exchange Commission (“SEC”) on May 29, 2026 by WISeSat.Space Holdings Corp. (“Pubco”), a wholly-owned subsidiary of WISeSat.

The registration statement has not been declared effective by the SEC. The registration statement relates to the previously announced proposed business combination pursuant to a definitive Business Combination Agreement, dated November 9, 2025 (the “Business Combination Agreement”), by and among WISeSat, Columbus Acquisition Corp (Nasdaq: COLA) (“CAC”), a special purpose acquisition company, Pubco, WISeKey, and WISeSat Merger Sub Corp. Subject to the registration statement being declared effective by the SEC, and upon completion of the proposed business combination, each of WISeSat and CAC will become subsidiaries of Pubco, and the combined company is expected to trade on Nasdaq under the ticker symbol “SIOQ.”

Upon completion of the proposed business combination, Pubco is expected to begin a strategic transformation under the brand SPACEAIQ, reflecting its expanded mission at the intersection of Space Infrastructure, Artificial Intelligence, and Quantum Technologies. The WISeSat brand will continue to serve as the identity of the company’s satellite business and space connectivity infrastructure, while SPACEAIQ will represent the broader corporate vision encompassing secure space-based communications, AI-driven autonomous systems, quantum-resilient cybersecurity, and next-generation digital infrastructure.

WISeSat is a British Virgin Islands business company developing secure satellite infrastructure and space-based services designed to support trusted communications, digital identity, secure data exchange and other security-sensitive applications. By combining low-earth-orbit satellite assets with advanced cryptographic and identity technologies, WISeSat aims to provide persistent, secure connectivity for use cases such as government communications, industrial IoT, critical infrastructure monitoring and disaster-resilient networks. As part of the WISeKey group, WISeSat aims to extend Root of Trust and quantum-resilient security architectures into space, enabling end-to-end protection of data and devices across both terrestrial and space-based networks.

Carlos Moreira, Chief Executive Officer of WISeSat, said: “This public filing is more than a procedural step; it is an important milestone in WISeSat’s intended path to become a Nasdaq-listed space infrastructure company as it reflects continued progress on the proposed business combination with CAC and our objective to create a European, quantum‑secure satellite platform for sovereign and trusted connectivity. Strategic autonomy increasingly starts in space, and the next generation of trusted connectivity will require secure satellite infrastructure, post-quantum technologies and digital identity working together from orbit. By leveraging the WISeKey group’s expertise in Root of Trust, quantum-resistant semiconductors, authentication and trusted identity, we believe WISeSat is positioned to contribute to a new European model for sovereign, quantum-resilient communications infrastructure. While the proposed transaction remains subject to SEC review, CAC shareholder approval and other closing conditions, this process marks a major step forward in WISeSat’s ambition to become a leading European quantum-secure space technology company.”

The completion of the proposed transaction contemplated by the Business Combination Agreement remains subject to certain closing conditions, including the approval of CAC shareholders, the effectiveness of the registration statement, and approval of the listing of the registered shares of Pubco by Nasdaq.
