Company Description
KRAKacquisition Corp is a special purpose acquisition company formed to effect a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. The company is a Cayman Islands exempted company and its public securities are structured around units, Class A ordinary shares and redeemable warrants rather than an operating business.
The company's units trade on the Nasdaq Global Market under the symbol KRAQU. Each unit consists of one Class A ordinary share and one-fourth of one redeemable warrant. Each whole warrant entitles the holder to purchase one Class A ordinary share at an exercise price of $11.50 per share, subject to the terms of the warrant agreement. After separation, the Class A ordinary shares and warrants trade under the symbols KRAQ and KRAQW, respectively, while unseparated units continue to trade as KRAQU.
KRAKacquisition Corp completed its initial public offering in January 2026. Proceeds from the public offering, together with certain private placement proceeds, were placed in a trust account for the benefit of public shareholders and the underwriters, with Continental Stock Transfer & Trust Company serving as trustee. The trust structure, redemption rights and business-combination deadline are central features of the company's SPAC model. Funds in the trust account are generally restricted until the earlier of an initial business combination or redemption of the public shares if no qualifying transaction is completed within the stated period, subject to permitted withdrawals described in the company's offering documents.
