How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Adjusted EBITDA financial
"Adjusted EBITDA fell by $2.6 million to $0.4 million"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
Term SOFR financial
"at Term SOFR (subject to a 2.50% floor)"
Term SOFR is a benchmark interest rate that reflects the cost of borrowing money over a specific period, based on actual transactions in the financial markets. It is used by lenders and borrowers to set the interest rates on loans and financial contracts, helping to ensure rates are fair and transparent. For investors, understanding term SOFR helps gauge borrowing costs and the overall direction of interest rates in the economy.
Applicable Premium financial
"prepayment premium (the “Applicable Premium”)"
Applicable premium is the extra amount per share an acquirer offers above the current market price to persuade shareholders to sell, often used in takeover bids or buyouts. Think of it as the bonus a buyer pays to convince owners to give up control — it matters to investors because it determines immediate cash value of shares in a deal and signals how much a buyer values the company relative to its trading price.
fixed charge coverage ratio financial
"minimum fixed charge coverage ratio of 1.00:1.00"
A fixed charge coverage ratio measures how well a company's operating income can cover its fixed, recurring obligations like interest payments and lease costs. Think of it as a safety margin — the higher the number, the more comfortably a business can pay steady bills from its normal earnings, which matters to investors because it signals financial stability, lower default risk, and greater ability to withstand revenue dips.
Revenue $31.9 million Down 8.7% from $35.0 million in the third quarter of 2025
Net loss $7.2 million loss Improved by $2.3 million from a $9.5 million loss in the third quarter of 2025
Adjusted EBITDA $0.4 million Declined by $2.6 million from $3.0 million in the third quarter of 2025

For 2026, revenue guidance was reduced to approximately $144 million to $146 million from $151 million to $157 million; Adjusted EBITDA guidance was reduced to approximately $9 million to $10 million from $12 million to $14 million.

Item 1.01 Entry into a Material Definitive Agreement.

Financing Agreement

On November 5, 2026 (the “Closing Date”), AirSculpt Technologies, Inc. (the “Company”), EBS Intermediate Parent LLC, a wholly-owned subsidiary of the Company (“EBS Parent”), and EBS Enterprises LLC, a wholly-owned subsidiary of EBS Parent (the “Borrower”), entered into a Financing Agreement (the “Financing Agreement”) with the lenders from time to time party thereto (the “Lenders”) and Blue Torch Finance LLC, as administrative agent and collateral agent (the “Agent”). The Company and EBS Parent guarantee the Borrower’s obligations.

The Financing Agreement provides for (i) a $39.0 million senior secured term loan (the “Term Loan”), funded in full on the Closing Date, and (ii) a senior secured revolving credit facility of up to $5.0 million (the “Revolving Facility” and, with the Term Loan, the “Credit Facilities”), none of which was drawn at closing. The Borrower used the proceeds of the Term Loan to repay in full the Existing Credit Agreement (as defined below) and to pay related fees and expenses. Proceeds of any revolving loans will be used for working capital and general corporate purposes. The Credit Facilities mature on November 5, 2031. The obligations are secured by liens on substantially all of the assets of the Borrower and the guarantors.

Interest and Fees. Borrowings bear interest, at the Borrower’s option, at Term SOFR (subject to a 2.50% floor) or a reference rate, in each case plus an applicable margin based on the Company’s leverage ratio. The margin ranges from 6.75% to 7.75% for Term SOFR loans and from 5.75% to 6.75% for reference rate loans; the highest margin applies until the compliance certificate for the first full fiscal quarter after closing is delivered and while a default or event of default is continuing, and during an event of default the Agent may also charge default interest of an additional 2.00%. The Borrower pays an unused line fee of 0.50% per annum on the unused portion of the Revolving Facility, accruing from the Closing Date and payable quarterly in arrears beginning January 1, 2027, and paid customary upfront and other fees at closing pursuant to a fee letter.

Repayment and Prepayment. The Term Loan amortizes in quarterly installments beginning December 31, 2026 of $731,250, increasing to $975,000 beginning December 31, 2027 and $1,462,500 beginning December 31, 2029, with the balance due at maturity. Mandatory prepayments are required from excess cash flow for each fiscal year beginning with fiscal 2027 (75% to 0%, depending on the gross leverage ratio), payable within five business days after delivery of the audited annual financial statements for that fiscal year, and from net proceeds of certain dispositions (above $500,000 in any fiscal year, subject to limited reinvestment rights for insurance and condemnation proceeds), non-permitted indebtedness, extraordinary receipts and equity cure contributions. Term Loan prepayments (other than scheduled amortization and mandatory prepayments from excess cash flow and extraordinary receipts), permanent reductions of the Revolving Facility, acceleration and termination of the Financing Agreement are subject to a prepayment premium (the “Applicable Premium”) equal to a make-whole amount plus 3.00% during the first year after the Closing Date, then 2.00%, 1.00% and 0.50% in the second through fourth years, and zero thereafter.

Covenants. The Financing Agreement requires, tested quarterly on a trailing twelve-month basis (liquidity is tested weekly): (i) a maximum leverage ratio of 4.50:1.00 for test periods ending December 31, 2026 through September 30, 2027, stepping down to 2.00:1.00 for the period ending December 31, 2030 and thereafter; (ii) a minimum fixed charge coverage ratio of 1.00:1.00 through September 30, 2027, 1.10:1.00 through September 30, 2028 and 1.20:1.00 thereafter; and (iii) minimum average weekly liquidity of $7.5 million for each calendar week ending prior to September 30, 2027 and $5.0 million for each calendar week ending thereafter. Breaches of the leverage and fixed charge coverage covenants may be cured with equity contributions, subject to limits (no more than five times and not in consecutive quarters, and with at least two consecutive fiscal quarters without a cure in each period of four fiscal quarters) and to the requirement that the proceeds be applied to prepay the loans; no cure right applies to the liquidity covenant. The Financing Agreement also contains customary affirmative and negative covenants, including reporting, cash management (including deposit account control agreements), healthcare regulatory compliance, and limits on indebtedness, liens, fundamental changes, dispositions, investments, restricted payments and affiliate transactions. The Borrower must deliver certain items within specified periods after the Closing Date, including deposit account control agreements, landlord waivers, insurance endorsements, lien releases and certain financing statements, and failure to timely deliver them is an event of default.

Events of Default. The Financing Agreement contains customary events of default, including nonpayment, breach of representations or covenants (subject in some cases to grace periods), cross-default to other indebtedness in excess of $500,000, bankruptcy, judgments in excess of $500,000, invalidity of loan documents or liens, loss of material licenses, certain events relating to the Company’s management services arrangements with affiliated professional entities, and a

change of control. If an event of default occurs, the Agent may, and at the request of the required Lenders shall, terminate the commitments, accelerate the obligations (together with the Applicable Premium) and exercise other remedies.

Except as described herein and in respect of the Financing Agreement and the related loan documents, there is no material relationship between the Company or its affiliates and the Agent or the Lenders. The foregoing description does not purport to be complete and is qualified in its entirety by reference to the Financing Agreement, a copy of which is filed as Exhibit 10.1 and incorporated herein by reference.

Item 1.02 Termination of a Material Definitive Agreement.

On November 7, 2022, the Company, EBS Parent and the Borrower entered into a Credit Agreement (as amended, the “Existing Credit Agreement”) with the lenders party thereto and Silicon Valley Bank, a division of First-Citizens Bank & Trust Company, as administrative agent, scheduled to mature on November 15, 2027. On the Closing Date, the Borrower used the proceeds of the Term Loan to repay in full all outstanding obligations under the Existing Credit Agreement, following which no obligations remained outstanding and the Existing Credit Agreement, the related loan documents and the related liens and guarantees were terminated and released. The Company did not incur any material early termination penalties.

Given these uncertainties, investors should not place undue reliance on these forward-looking statements.
Use of Non-GAAP Financial Measures
The Company reports financial results in accordance with generally accepted accounting principles in the United States (“GAAP”), however, the Company believes the evaluation of ongoing operating results may be enhanced by a presentation of Adjusted EBITDA, Adjusted EBITDA Margin, Adjusted Net Loss and Adjusted Net Loss per Share, which are non-GAAP financial measures. Although the Company provides guidance for Adjusted EBITDA, it is not able to provide guidance for net income, the most directly comparable GAAP measure. Certain elements of the composition of net income, including equity-based compensation, are not predictable, making it impractical for us to provide guidance on net income or to reconcile our Adjusted EBITDA guidance to net income without unreasonable efforts. For the same reasons, the Company is unable to address the probable significance of the unavailable information regarding net income, which could be material to future results.
These non-GAAP financial measures are not intended to replace financial performance measures determined in accordance with GAAP. Rather, they are presented as supplemental measures of the Company's performance that management believes may enhance the evaluation of the Company's ongoing operating results. These non-GAAP financial measures are not presented in accordance with GAAP, and the Company’s computation of these non-GAAP financial measures may vary from similar measures used by other companies. These measures have limitations as an analytical tool and should not be considered in isolation or as a substitute or alternative to revenue, net income, operating income, cash flows from operating activities, total indebtedness or any other measures of operating performance, liquidity or indebtedness derived in accordance with GAAP.

(1) For the three and nine months ended September 30, 2026 and 2025, we define same-center case and revenue growth as the growth in each of our cases and revenue at facilities that were owned and operated during the three and nine months ended September 30, 2026 and 2025, respectively. At facilities that were not owned or operated for the entirety of the prior year period, the current year period has been pro-rated to reflect only growth experienced during the portion of the three and nine months ended September 30, 2026 in which such facilities were owned and operated during the three and nine months ended September 30, 2025. We define same-center facilities and procedure rooms based on if a facility was owned or operated as of September 30, 2025. We have excluded the London facility from all periods presented due to the closure of the facility.

Reconciliation of Non-GAAP Financial Measures
(Dollars in thousands)
We report our financial results in accordance with GAAP, however, management believes the evaluation of our ongoing operating results may be enhanced by a presentation of Adjusted EBITDA, Adjusted EBITDA Margin, Adjusted Net Loss and Adjusted Net Loss per Share, which are non-GAAP financial measures.
We define Adjusted EBITDA as net loss excluding depreciation and amortization, net interest expense, income tax expense/(benefit), restructuring and related severance costs, certain other non-recurring costs, unrealized (gain)/loss, and equity-based compensation.
We define Adjusted Net Loss as net loss excluding restructuring and related severance costs, loss on impairment of long-lived assets, certain other non-recurring costs, equity-based compensation and the tax effect of these adjustments.
We include Adjusted EBITDA and Adjusted Net Loss because they are important measures on which our management assesses and believes investors should assess our operating performance. We consider Adjusted EBITDA and Adjusted Net Loss each to be an important measure because they help illustrate underlying trends in our business and our historical operating performance on a more consistent basis. Adjusted EBITDA has limitations as an analytical tool including: (i) Adjusted EBITDA does not include results from equity-based compensation and (ii) Adjusted EBITDA does not reflect interest expense on our debt or the cash requirements necessary to service interest or principal payments. Adjusted Net Loss has limitations as an analytical tool because it does not include results from equity-based compensation.
We define Adjusted EBITDA Margin as Adjusted EBITDA as a percentage of revenue. We define Adjusted Net Loss per Share as Adjusted Net Loss divided by weighted average basic and diluted shares. We included Adjusted EBITDA Margin and Adjusted Net Loss per Share because they are important measures on which our management assesses and believes investors should assess our operating performance. We consider Adjusted EBITDA Margin and Adjusted Net Loss per Share to be important measures because they help illustrate underlying trends in our business and our historical operating performance on a more consistent basis.
