Item 7.01 Regulation FD Disclosure.
Alight, Inc. (the “Company” or “Alight”) has been engaged in confidential discussions with certain lenders (collectively, the “Lenders”) and their financial and legal advisers regarding potential refinancing and/or extension opportunities (a “Potential Transaction”) with respect to the Company’s credit agreement, dated as of May 1, 2017. A definitive agreement with terms that are satisfactory to Alight has not yet been reached, and at this time the Company has elected not to actively pursue a Potential Transaction. The Company can provide no assurance that any such agreement will be reached. Accordingly, pursuant to confidentiality agreements the Company entered into with the Lenders, the Company agreed to publicly disclose certain confidential information provided to the Lenders (the “Cleansing Materials”).
On October 14, 2026, the Company made the Cleansing Materials available on its website at https://investor.alight.com/events-and-presentations/default.aspx. The Cleansing Materials, which is titled “Alight, Inc. Supplemental Information”, is posted to the Events & Presentations subsection of the “Investors” section of the Company’s website and will be available through December 31, 2026. The information found on, or otherwise accessible through, the Company’s website is not incorporated by reference herein.
The Cleansing Materials were prepared solely for the limited purpose of facilitating discussions with the Lenders, were based primarily on information available to the Company between April 2026 and June 2026 (the period during which they were prepared), and were not prepared with a view toward public disclosure. The Cleansing Materials have not been updated since that date and do not reflect events, developments or information arising, or management’s views or expectations formed, after that date, and many of the assumptions and plans reflected therein have changed since that time. The Cleansing Materials also contain forward-looking statements, which should be read in conjunction with the forward-looking statements disclaimer set forth therein. Accordingly, at this time, the Company is making no representations regarding the continued accuracy of the Cleansing Materials and, as such, the Cleansing Materials should not be relied on by any party for any reason, including to make an investment decision with respect to the Company or its securities.
By filing this Current Report on Form 8-K (the “Report”) and posting the Cleansing Materials on its website, the Company makes no admission as to the materiality of any information contained in this Report or in the Cleansing Materials. The information in this Report and the Cleansing Materials is neither an offer to sell nor a solicitation of an offer to buy any securities. The Company does not intend to, and undertakes no obligation to, update or otherwise revise the financial projections, prospective financial information and forecasts included in the Cleansing Materials (collectively, the “Projections”) or other information contained in the Cleansing Materials to reflect circumstances existing after the date when they were prepared or to reflect the occurrence of future events, even in the event that any or all of the assumptions underlying the Projections and other information in the Cleansing Materials are shown to be in error or are no longer appropriate, except as required by law.
The Projections and other information contained in the Cleansing Materials do not amend, modify, update or supersede, and should not be read as amending, modifying, updating or superseding, the Company’s full year business outlook for the fiscal year ending December 31, 2026 (the “2026 Business Outlook”), as most recently disclosed by the Company in connection with its second quarter 2026 earnings press release. The Company hereby reaffirms its previously disclosed 2026 Business Outlook.
Forward-Looking Statements
This Report contains forward-looking statements within the meaning of Section 27A of the Securities Act of 1933, as amended, and Section 21E of the Securities Exchange Act of 1934, as amended. These statements include, but are not limited to, statements regarding the Company’s ability to consummate a Potential Transaction and the terms thereof, and the Projections and other prospective financial information included in the Cleansing Materials and statements regarding 2026 Business Outlook. In some cases, these forward-looking statements can be identified by the use of words such as “outlook,” “believes,” “expects,” “potential,” “continues,” “may,” “will,” “would,” “should,” “could,” “seeks,” “projects,” “predicts,” “intends,” “plans,” “estimates,” “anticipates” or the negative version of these words or other comparable words. Such forward-looking statements are subject to various risks and uncertainties, including those described under the section entitled “Risk Factors” of Alight’s Annual Report on Form 10-K, filed with the Securities and Exchange Commission (the “SEC”) on February 24, 2026, as such factors may be updated from time to time in Alight's filings with the SEC, which are, or will be, accessible on the SEC's website at www.sec.gov. Accordingly, there are or will be important factors that could cause actual outcomes or results to differ materially from those indicated in these statements, and the Company’s actual results may differ materially from the Projections included in the Cleansing Materials and the statements made in regard to 2026 Business Outlook. Forward-looking statements, including the Projections, speak only as of the date on which they were made or prepared and not as of the date of this Report. These factors should not be construed as exhaustive and should be considered along with other factors noted in Alight’s filings with the SEC. Alight undertakes no
obligation to publicly update or review any forward-looking statement, including the Projections and the 2026 Business Outlook, whether as a result of new information, future developments or otherwise, except as required by law.
