(the “Company”) entered into an agreement with Craig Brubaker to serve as the Material Handling segment's Chief Operating Officer, no longer serving as an executive officer or Section 16 officer of the Company according to the Securities Exchange Act of 1934, effective immediately. Under the agreement, which is filed as Exhibit 10.1 to this Current Report on Form 8-K, Mr. Brubaker is entitled to base salary, bonus and certain severance payments under Section 9, subject to compliance with the terms of the agreement.
