senior secured credit facility financial
"an $85.0 million senior secured credit facility"
A senior secured credit facility is a loan or revolving line of credit where lenders have first legal claim on specific company assets (collateral) and the debt ranks above other obligations for repayment. For investors it signals where a lender sits in the repayment pecking order and how much protection creditors have if the company struggles, affecting credit costs, the company’s ability to borrow more, and potential recoveries in a default — like a mortgage taking priority over other claims on a house.
delayed draw term loan commitments financial
"including $32.0 million of delayed draw term loan commitments"
A delayed draw term loan commitment is a lender's promise to make one or more fixed-term loans that a borrower can take later during a specified availability period, subject to agreed conditions, documentation and any covenant tests. For investors, it shows a company’s access to committed future cash — like a scheduled credit tap — which affects liquidity, plans to refinance or fund growth and the timing of increased leverage or covenant triggers.
Adjusted Term SOFR financial
"Adjusted Term SOFR plus 5.25%"
Adjusted term SOFR is a forward‑looking interest benchmark based on short‑term overnight Treasury repo rates, with a small extra amount added to reflect differences from legacy rates. Think of it as a quoted price that has been nudged to make payments comparable to older benchmarks; it matters to investors because it directly influences borrowing costs, bond yields and cash‑flow forecasts, affecting valuations and hedging outcomes.
negative covenants financial
"customary affirmative and negative covenants"
