Rhea-AI Filing Summary

American Fusion, Inc. (AMFN) appointed Brent Nelson chief executive officer effective immediately on October 26, 2026; he continues as chairman, a role he has held since March 1, 2026. Richard C. Hawkins ceased serving as chief executive officer and corporate secretary that day and was appointed chief administrative officer, subject to his acceptance; the company expects him to continue in that role. The leadership change was effective immediately upon valid approval of the board resolution.

Nelson’s consulting agreement, dated March 1, 2026, remains in effect and provides $15,000 per month for a six-month term, automatically renewing for successive six-month periods unless either party gives written notice at least 30 days before expiration. No appointment-related grant or award had been made to Nelson; the company said it will file an amendment within four business days after material terms of any such arrangement are determined.

Filing Explained

Hawkins’s CEO departure did not end his separate consulting agreement: the January 1, 2025 agreement remains in effect and is neither amended nor terminated; it covers non-exclusive strategic, corporate, financial and capital-markets services, while his CEO service was non-salaried.
