Insights

América Móvil ends its joint Telefónica Chile bid with ENTEL but may still pursue assets alone.

América Móvil discloses that it has agreed with ENTEL to terminate a non-binding agreement for a potential joint offer for certain assets and businesses related to Telefónica’s Chilean operation. The earlier arrangement was only exploratory, so ending it mainly changes the potential structure of any future bid rather than confirming a transaction.

The company notes it will now explore possible participation in the sale process on an individual basis. This keeps strategic options open in Chile while removing a prospective local partner from the contemplated joint approach. Actual impact will depend on whether América Móvil ultimately decides to submit an individual offer in the Telefónica Chile process.

The communication also highlights standard forward-looking statement language, underscoring that management’s plans and expectations around this process may change due to risks and uncertainties. Investors can look to future disclosures for clarity on whether América Móvil moves from exploring options to pursuing a concrete transaction related to the Chilean assets.

FAQ

What did América Móvil (AMX) announce regarding its agreement with ENTEL?

América Móvil announced that it signed a termination agreement with Empresa Nacional de Telecomunicaciones (ENTEL) to end their non-binding agreement for a possible joint offer for certain assets and businesses related to Telefónica’s Chilean operation.

What was the purpose of the original non-binding agreement between AMX and ENTEL?

The original non-binding agreement, entered into on July 18, was for AMX and ENTEL to consider submitting a joint offer for the acquisition of certain assets and businesses related to Telefónica’s Chilean operation in connection with a sale process started by Telefónica.

Will América Móvil still consider participating in the Telefónica Chile asset sale?

Yes. América Móvil states that it will explore its potential participation in the Telefónica Chile sale process individually, rather than through the previously contemplated joint offer with ENTEL.

Does the termination mean there will be no acquisition by América Móvil?

No. The announcement only states that the non-binding joint agreement with ENTEL has been terminated. América Móvil indicates it will still explore potential participation in the Telefónica Chile sale process on its own.

Are there any binding commitments for América Móvil in relation to Telefónica’s Chilean assets?

Based on this disclosure, there are no binding commitments; the prior arrangement with ENTEL was explicitly described as non-binding, and América Móvil now says it will only explore potential individual participation in the sale process.

What forward-looking statement caution does América Móvil provide?

América Móvil explains that statements about its performance, business, and future events are forward-looking, identified by terms such as “believe,” “anticipate,” and “expect,” and that many factors could cause actual results to differ materially. The company disclaims any obligation to update such statements.
