Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 10, 2026, Elizabeth S. Perkins, the Company’s Senior Vice President and Chief Financial Officer, was appointed as, and assumed the additional role of, the Company’s principal accounting officer. Ms. Perkins succeeds Rachel Labrecque as the Company’s principal accounting officer. Ms. Labrecque passed away on June 9, 2026. Ms. Labrecque will be greatly missed and the Company extends its sincere condolences to Ms. Labrecque’s family.

Biographical information for Ms. Perkins may be found in the Company’s definitive proxy statement on Schedule 14A filed with the Securities and Exchange Commission on April 2, 2026, and such biographical information is incorporated herein by reference.
