Every 8-K that ARK 21Shares Bitcoin ETF (ARKB) has filed with the SEC in the last 24 months is listed below, newest first, and each one links through to the document itself with the summary and the scores our analysis gives it.
A 8-K covers material events a company has to report between its quarterly reports, so if you follow ARKB and want that one kind of document rather than the whole filing history, this is the page to keep. The company's other filings, of every form, are on the full ARKB filings page.
Ark 21Shares Bitcoin ETF (ARKB) reports several contractual and structural updates. On August 20, 2026, 21Shares US LLC, as Sponsor, entered into a Benchmark Licensing Agreement with FTSE International Limited, giving a non-exclusive worldwide license to use the FTSE Bitcoin Index as the fund’s pricing benchmark.
Beginning August 27, 2026, the Trust will value its Shares and calculate net asset value by reference to the FTSE Bitcoin Index instead of the CME CF Bitcoin Reference Rate – New York Variant. The FTSE license has an initial term of one year and automatically renews for successive one-year periods unless terminated under its terms. On August 26, 2026, the Trust also amended the Sponsor Agreement to change Sponsor Fee payments from weekly in arrears to at least quarterly in arrears, payable in bitcoin. The same day, the Sponsor and CSC Delaware Trust Company entered into a Second Amended and Restated Trust Agreement to reflect the new benchmark, the revised Sponsor Fee timing, and other technical and clarifying revisions, which are stated not to materially impact the rights of the Trust or its shareholders.
ARK 21Shares Bitcoin ETF reported that its sponsor, 21Shares US LLC, has elected to terminate its licensing agreement with CF Benchmarks for use of the CME CF Bitcoin Reference Rate—New York Variant. The termination is effective August 31, 2026.
The sponsor intends to enter a new licensing agreement with FTSE International Limited on or about August 24, 2026, under which FTSE will provide index data used to support and value the Trust. Both the existing CF Benchmarks license and the planned FTSE license are non-exclusive, non-transferable, perpetual arrangements that renew annually unless terminated.
ARK 21Shares Bitcoin ETF reported two key operational updates affecting how it holds bitcoin and processes share creations and redemptions. On December 12, 2025, the fund entered into a new Custodial Services Agreement with BitGo Trust Company, Inc., under which BitGo will maintain segregated custody accounts for the ETF’s bitcoin, keep reasonable insurance coverage, and provide safekeeping services. The ETF must indemnify BitGo and certain affiliates in specified circumstances.
The sponsor will continue to use existing custodians Coinbase Custody Trust Company, LLC, Anchorage Digital Bank N.A., and BitGo New York Trust Company, LLC, and will allocate bitcoin among them and BitGo Trust Company based on risk, cost, and other factors. On December 16, 2025, the ETF also entered into an Authorized Participant Agreement with Macquarie Capital (USA) Inc., allowing Macquarie to create and redeem 5,000-share baskets, including in-kind orders using bitcoin, with transaction fees generally charged by the sponsor.
