How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Adjusted EBITDA financial
"Adjusted EBITDA in the third quarter of 2026 was $8.6 million"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
goodwill impairment financial
"a $13.4 million non-cash goodwill impairment charge"
Goodwill impairment occurs when a company’s valued reputation or brand strength, known as goodwill, is found to be worth less than previously recorded on its financial statements. This usually happens when the company's performance declines or market conditions change, signaling that the expected benefits from acquisitions or brand value are no longer as strong. It matters to investors because it can indicate that a company's assets are less valuable than initially thought, potentially affecting its overall financial health.
used serviceable material (USM) technical
"used serviceable material (USM) sales"
Pre-owned components or materials that have been inspected, tested, and certified as safe and functional for continued use; think of them as certified, recycled parts that pass quality checks before being reinstalled. Investors should care because relying on used serviceable material can lower replacement costs and improve margins, but it also affects regulatory compliance, warranty exposure and perceived reliability—factors that influence operating expenses, risk profile and long-term asset value.
feedstock acquisitions technical
"Feedstock acquisitions were $7.1 million"
Airworthiness Directive regulatory
"fuel tank flammability Airworthiness Directive"
An airworthiness directive is an official safety order issued by aviation regulators requiring specific inspections, repairs, or changes to an aircraft, engine, or component to address a known safety problem. For investors it matters because compliance can force airlines or manufacturers to take planes out of service, incur repair costs, delay deliveries, or face legal risk—similar to a consumer-product recall that affects production, revenue and reputation.
Revenue $91.6 million 28.6% increase from $71.2 million in the third quarter of 2025
Net loss $15.0 million loss Compared with a $0.1 million loss in the third quarter of 2025
Adjusted EBITDA $8.6 million 9.7% decrease from $9.5 million in the third quarter of 2025
Gross margin 22.5% Compared with 30.2% in the third quarter of 2025
Guidance

Management expected a significantly stronger fourth quarter, with the $35 million Boeing 737 sale and engine transactions expected to close before year-end.

Third Quarter 2026 Financial Results:

During the third quarter of 2026, we continued to focus on our strategic initiatives of monetizing our asset base, scaling our Maintenance, Repair, and Overhaul (“MRO”) operations, and growing recurring revenue streams of our business. Revenue and adjusted EBITDA improved sequentially from the second quarter. Flight Equipment sales in the quarter consisted of one whole engine. The sale of a Boeing 737 aircraft and additional engines previously expected to occur in the third quarter are now expected to close in the fourth quarter.

The Company’s revenue for the third quarter of 2026 was $91.6 million, representing a 28.6% increase compared to $71.2 million in the third quarter of 2025 and an increase from $70.9 million in the second quarter of 2026. Growth was driven by leasing, used serviceable material (“USM”) sales, heavy MRO, strong commercial demand for the Company’s AerSafe® product, as well as $9.3 million of Flight Equipment sales, compared with $0.4 million in the prior-year period.

Adjusted EBITDA1 in the third quarter of 2026 was $8.6 million, or 9.3% of total revenue, compared to $9.5 million, or 13.3% of total revenue, in the comparable prior year period. Excluding Flight Equipment sales, revenue grew 16.2% to $82.3 million in the third quarter of 2026 compared to the prior-year period, with gains in leasing, USM, heavy MRO, and Engineered Solutions. We expect continued improvement in adjusted EBITDA as the ramp-up costs of new programs designed to deliver higher profitability and recurring revenue are expected to diminish over time.

We encourage investors to evaluate performance across multiple quarters and through the more recurring parts of our business: leasing, USM and MRO.

Nicolas Finazzo, Chief Executive Officer at AerSale, stated, “The initiatives we have undertaken since early 2025 to make inventory and Flight Assets ready for sale or lease, optimize our sales force, invest in technology, and complete major facilities expansion projects, are taking hold. As such, our third quarter operational results improved meaningfully

over the second quarter. Five of our seven 757 freighters are now on lease. We are using advanced analytics to strengthen USM sales by rapidly identifying the most cost-efficient way to make USM ready for sale. In TechOps, we have similarly created advanced analytics that have identified the factors affecting output and profitability at Millington, Goodyear, and our Component MRO shops, which should improve the efficiency of our workforce and increase utilization of our available capacity.”

Mr. Finazzo continued, “We enter the fourth quarter with a well-defined Flight Equipment pipeline expected to close before year end. We have commitments for a $35 million sale of a Boeing 737 aircraft to the U.S. Marshals Service, and other customers for engines now in the final stages of restoration. Together with our expanded lease portfolio and a clear path to monetizing the inventory we have built, we expect a significantly stronger fourth quarter.”

Asset Management Solutions Segment (“AMS”) revenue increased 28.9% to $50.5 million in the third quarter of 2026 compared to $39.2 million in the third quarter of 2025. Excluding Flight Equipment sales, AMS revenue grew 6.4% to $41.3 million from $38.8 million in the prior year, driven by higher leasing and USM revenue. Leasing revenue grew on the strength of an expanded B757 freighter lease portfolio. USM revenue also increased with volumes building throughout the quarter as the Company continued to monetize existing inventory. Feedstock acquisitions were $7.1 million for the third quarter and $37.8 million year to date, compared with $84.2 million in the prior year to date period, reflecting our disciplined approach to pricing in a competitive sellers’ market. The Company was awarded seven A330 airframes, which meet our return requirements, with the first airframe anticipated to close in the coming weeks. As of September 30, 2026, the Company had 18 engines and five B757 freighter aircraft on lease, compared with 18 engines and three B757 freighter aircraft on lease as of June 30, 2026. We are advancing identified opportunities for our remaining two B757 freighters and are working closely with our engine MRO partners to finalize engines currently in repair.

Technical Operations Segment (“TechOps”) revenue increased 28.2% to $41.0 million in the third quarter of 2026 compared with $32.0 million in the third quarter of 2025. Heavy MRO revenue grew as Millington ramped up, generating revenue from two check lines awarded by a regional carrier, compared with none in the prior year. Goodyear revenue was in line with the prior year, and anticipated incremental maintenance has already begun in the fourth quarter.  Roswell performed ahead of plan on storage and fixed-price check work. Component MRO revenue was flat year over year. We have significantly optimized our management and sales organization to market our diverse service and product offerings with a full-service approach and an emphasis on cross selling, which we expect to improve performance in 2027. Engineered Solutions revenue increased over the prior year, driven by AerSafe® kit deliveries as operators must comply with the fuel tank flammability Airworthiness Directive.

Gross margin was 22.5% for the third quarter of 2026, compared with 30.2% in the same period last year. TechOps gross margin was 12.5%, compared with 25.3% in the prior-year period. AMS gross margin was 30.5%, compared with 34.1% in the same period last year. As recently deployed B757 freighters continue to be integrated into operations, the Company expects leasing margins to improve as 757 utilization increases and additional engines are placed on lease.

Selling, general, and administrative expenses were $18.8 million in the third quarter of 2026, compared to $18.6 million in the third quarter of 2025. SG&A included $0.5 million of share-based compensation expense versus $1.3 million in the prior-year period.

Loss from operations was $11.6 million in the third quarter of 2026, which includes a $13.4 million non-cash goodwill impairment charge, compared with income from operations of $2.9 million in the third quarter of 2025.

Income tax expense was $0.7 million in both the third quarter of 2026 and 2025. The Company’s effective tax rate was negative 4.8% in the third quarter of 2026.

Net loss for the third quarter of 2026 was $15.0 million, which includes a non-cash goodwill impairment charge of $13.4 million, compared to a net loss of $0.1 million in the prior-year period. Excluding the goodwill impairment charge, share-based compensation expense, and other adjusting items3, adjusted net loss1 was $1.1 million compared with adjusted net income1 of $1.5 million in the third quarter of 2025.

Diluted loss per share was $0.31 for the third quarter of 2026 compared to $0.00 in the third quarter of 2025. Adjusted for the items noted above, adjusted diluted loss per share1 was $0.02 for the third quarter of 2026, compared to adjusted diluted earnings per share1 of $0.04 in the prior-year period.

AerSale ended the quarter with liquidity of $23.1 million consisting of $3.9 million in cash and cash equivalents and $19.2 million of available capacity on its $180 million revolving credit facility, expandable to $200 million, subject to conditions and the availability of lender commitments and borrowing base availability. Year-to-date cash used in operating activities of $42.7 million primarily reflects continued investment in inventory through feedstock acquisitions and capitalized repair costs to ready Flight Equipment for lease or sale. The Flight Equipment transactions scheduled for the fourth quarter are expected to improve available liquidity.

Non-GAAP Financial Measures

This press release includes non-GAAP financial measures, including adjusted EBITDA, adjusted net income (loss), and adjusted diluted earnings (loss) per share. Adjusted net income (loss) is defined as net income (loss) excluding mark-to-market adjustments relating to our private warrants, share-based compensation expense, inventory write-offs, goodwill impairment, and other non-cash, non-recurring, or unusual items. AerSale defines adjusted EBITDA as adjusted net income (loss) excluding interest expense, net, depreciation and amortization, income tax (expense) benefit, and other non-cash, non-recurring, or unusual items. Adjusted diluted earnings (loss) per share is adjusted net income (loss) divided by the diluted weighted average number of shares outstanding during the measurement period.

AerSale believes these non-GAAP measures of financial results provide useful information to management and investors regarding certain financial and business trends relating to AerSale’s financial condition and results of operations. AerSale’s management uses certain of these non-GAAP measures to compare AerSale’s performance to that of prior periods for trend analyses and for budgeting and planning purposes. These non-GAAP measures should not be construed as an alternative to net income (loss), net income (loss) per diluted share or net income (loss) margin as an indicator of operating performance or as an alternative to cash flow provided by operating activities as a measure of liquidity (each as determined in accordance with GAAP).

You should review AerSale’s financial statements and not rely on any single financial measure to evaluate AerSale’s business. Other companies may calculate adjusted EBITDA, adjusted net income (loss), or adjusted diluted earnings (loss) per share differently, and therefore AerSale’s adjusted EBITDA, adjusted net income (loss), and adjusted diluted earnings (loss) per share measures may not be directly comparable to similarly titled measures of other companies.

Reconciliations of net income (loss) and diluted earnings (loss) per share, the Company’s closest GAAP measures, to adjusted EBITDA, adjusted net income (loss), and adjusted diluted earnings (loss) per share, are outlined in the tables below following the Company’s condensed consolidated financial statements.

End Notes

(1) Adjusted net income (loss), adjusted EBITDA and adjusted diluted (loss) earnings per share are non-GAAP measures. See “Non-GAAP Financial Measures” above and “Adjusted EBITDA, Adjusted Net (Loss) Income and Adjusted Diluted (Loss) Earnings Per Share Reconciliation Table” at the end of this press release for a discussion of why we believe these non-GAAP measures are useful together with a detailed reconciliation of these measures to their most directly comparable GAAP (Generally Accepted Accounting Principles) measures.

(2) Aircraft and engines held for lease refers to the financial statement line item Aircraft and engines held for lease, net within the Condensed Consolidated Balance Sheet, which is comprised of the cost of the assets net of accumulated depreciation.

Forward Looking Statements

This press release includes “forward-looking statements”. We intend such forward-looking statements to be covered by the safe harbor provisions for forward-looking statements contained in Section 27A of the Securities Act of 1933, as amended (the “Securities Act”), and Section 21E of the Securities Exchange Act of 1934, as amended (the “Exchange Act”). All statements other than statements of historical facts contained in this press release may constitute forward-looking statements, and include, but are not limited to, statements regarding our strategic initiatives and the expected results and benefits thereto; our anticipated financial and operating performance; the expected operating capacity of our MRO facilities and demand for such services; the timing of the expected Boeing 737 sale; and changes to our liquidity. AerSale’s actual results may differ from their expectations, estimates and projections and consequently, you should not rely on these forward-looking statements as predictions of future events. Words such as “expect,” “estimate,” “project,” “budget,” “forecast,” “anticipate,” “intend,” “plan,” “may,” “will,” “could,” “should,” “believes,” “predicts,” “potential,” “continue,” or the negative of these or other similar expressions are intended to identify such forward-looking statements. The forward-looking statements in this press release are only predictions. We have based these forward-looking statements largely on our current expectations and projections about future events and financial trends that we believe may affect our business, financial condition, and results of operations. You should carefully consider the foregoing factors and the other risks and uncertainties described in the Risk Factors, Management’s Discussion and Analysis of Financial Condition and Results of Operations sections of the Company's most recent Annual Report on Form 10-K filed with the Securities and Exchange Commission ("SEC"), and its other filings with the SEC, including its subsequent quarterly reports on Form 10-Q. These filings identify and address other important risks and uncertainties that could cause actual events and results to differ materially from those contained in the forward-looking statements. Moreover, we operate in an evolving environment. New risk factors and uncertainties may emerge from time to time, and it is not possible for management to predict all risk factors and uncertainties.

Forward-looking statements speak only as of the date they are made. Readers are cautioned not to put undue reliance on forward-looking statements, and we qualify all of our forward-looking statements by these cautionary statements. Except as required by applicable law, we do not plan to publicly update or revise any forward-looking statements contained herein, whether as a result of any new information, future events, changed circumstances or otherwise.
