Rhea-AI Filing Summary

Atkore Inc. (ATKR) was acquired by Prysmian S.p.A. in a merger completed October 19, 2026, and became Prysmian’s wholly owned subsidiary. Each outstanding Atkore common share, subject to customary exceptions, was converted into the right to receive $95.00 in cash, without interest. The aggregate cash consideration payable by Prysmian was approximately $3.3 billion, funded through a combination of equity and debt financing.

At closing, Atkore terminated its credit-facility commitments and repaid all obligations outstanding under those facilities. It also redeemed $400 million of 4.25% Senior Notes due 2031 at 102.125% of principal, plus accrued and unpaid interest to, but excluding, the closing date. Atkore requested that the NYSE halt trading and delist its common stock. After Form 25 becomes effective, it intends to file Form 15 to terminate the stock’s Exchange Act registration and suspend its reporting obligations.

Filing Explained

At closing, outstanding options and stock-unit awards were canceled and converted into rights to cash payments: options qualified only for any positive excess of the $95 deal price over exercise price, while RSUs, PSUs and deferred units were valued at $95 per underlying share, with PSU share counts set by award terms.

Merger Consideration financial
"right to receive $95.00 in cash, without interest (the “Merger Consideration”)"
Merger consideration is the total payment a company or buyer offers to shareholders of a target company in exchange for combining the two businesses, and can include cash, shares in the surviving company, debt assumption, or a mix of these. Investors care because the form and amount affect the deal’s value, tax consequences, immediate cash received versus future ownership, and the risk and upside of holding new shares — similar to choosing between cash now or stock that could grow later.
Effective Time regulatory
"immediately prior to the effective time of the Merger (the “Effective Time”)"
The exact clock time when a regulatory filing, approval, or corporate action formally becomes legally active; from that moment the change is binding and can be acted on. Investors care because the effective time marks when ownership, rights, trading rules, or new securities take effect — like a light switch turning on a contract or transaction — which determines when risks, benefits and market reactions begin.
Senior Notes financial
"4.25% Senior Notes due 2031"
Senior notes are a type of loan that a company borrows from investors, promising to pay it back with interest. They are called "senior" because in case the company faces financial trouble, these lenders are paid back before others. This makes senior notes safer for investors compared to other types of loans or bonds.
Indenture financial
"issued pursuant to that certain Indenture"
An indenture is a legal agreement between a company that borrows money by issuing bonds and the people who buy those bonds. It explains the rules the company must follow, like paying back the money and keeping certain financial promises. This document helps both sides understand their rights and responsibilities.
Form 25 regulatory
"Notification of Removal from Listing and/or Registration"
A Form 25 is an official filing with the U.S. Securities and Exchange Commission used to remove a company's stock or other security from a national exchange list. Investors should care because delisting often means less visibility, lower trading volume and wider price swings—similar to a product moving from a major supermarket to a small local market, which can make buying, selling and valuing the security more difficult.
