Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Financial statements, pro forma financial information, or exhibit attachments filed with this report.
Reverse stock split ratio 1-for-40 Effective October 28, 2026
Outstanding common shares before split approximately 100.5 million shares Before the reverse stock split
Outstanding common shares after split approximately 2.5 million shares After the reverse stock split
Authorized common shares 340 million shares Remain unchanged after the reverse stock split
reverse stock split financial
"one-for-forty (1-for-40) reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
authorized shares financial
"authorized shares of the Company's common stock"
Authorized shares are the maximum number of shares a company is allowed to issue according to its official plan. Think of it as a company’s set limit on how many pieces of its ownership it can distribute to investors. This number helps investors understand the potential for future growth or change in the company's ownership structure.
par value financial
"without any change in par value per share"
Par value is the fixed amount printed on a bond or stock that represents its original value when issued. It’s like the face value of a coin or bill—what the issuer promises to pay back or the starting price of a stock—though it often doesn’t change with market prices. It matters because it helps determine certain financial details, like how much the company will pay back at maturity.
split-adjusted basis technical
"on a split-adjusted basis"
An adjustment to historical share prices and share counts that reflects past stock splits or reverse splits so that old data lines up with the current number of shares. Think of it like resizing an old photograph so it matches a new frame: it keeps price charts, returns and per‑share metrics comparable over time, which matters to investors who need accurate performance, valuation and trend analysis.
fractional share financial
"entitled to receive a fractional share"
A fractional share is a portion of a single stock that is worth less than one full share, like owning a slice of a pizza instead of the whole pie. It lets investors buy and hold part of expensive stocks or spread small amounts of money across many companies, which helps with diversification and regular investing; dividends and price changes affect fractional shares proportionally, though some rights and trading rules can vary by provider.
Split Ratio 1-for-40 reverse split
Effective Date October 28, 2026
Shares Before Split 100,500,000
Shares After Split 2,500,000

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On October 27, 2026, aTyr Pharma, Inc. (the “Company”) filed a Certificate of Amendment to its Restated Certificate of Incorporation, as amended (the “Amendment”), with the Secretary of State of the State of Delaware to effect a one-for-forty (1-for-40) reverse stock split (the “Reverse Stock Split”) of its outstanding common stock. The Amendment will be effective at 5:00 p.m. Eastern Time on October 28, 2026. A series of alternate amendments to effect a reverse stock split was approved by the Company’s stockholders at the Company’s Special Meeting of Stockholders held on October 16, 2026, and the specific one-for-forty (1-for-40) Reverse Stock Split was subsequently approved by the Company’s board of directors on October 16, 2026.

The Amendment provides that, at the effective time of the Amendment, every forty (40) shares of the Company’s issued and outstanding common stock will automatically be combined into one (1) issued and outstanding share of common stock and the authorized shares of the Company’s common stock will remain 340,000,000, without any change in par value per share. As a result of the Reverse Stock Split, the number of shares of common stock outstanding will be reduced from approximately 100.5 million shares to approximately 2.5 million shares. The Reverse Stock Split will affect all shares of the Company’s common stock outstanding immediately prior to the effective time of the Amendment. As a result of the Reverse Stock Split, proportionate adjustments will be made to the per share exercise price and/or the number of shares issuable upon the exercise or vesting of all stock options, restricted stock units and warrants issued by the Company and outstanding immediately prior to the effective time of the Amendment, which will result in a proportionate decrease in the number of shares of the Company’s common stock reserved for issuance upon exercise or vesting of such stock options, restricted stock units and warrants, and, in the case of stock options and warrants, a proportionate increase in the exercise price of all such stock options and warrants. In addition, the number of shares reserved for issuance under the Company’s equity compensation plans immediately prior to the effective time of the Amendment will be reduced proportionately.

No fractional shares will be issued as a result of the Reverse Stock Split. Stockholders of record who would otherwise be entitled to receive a fractional share will be entitled to rounding up of the fractional share to a whole share. The Reverse Stock Split will affect all stockholders proportionately and will not affect any stockholder’s percentage ownership of the Company’s common stock (except to the extent that the Reverse Stock Split results in any stockholder owning only a fractional share).

The Company’s common stock will begin trading on The Nasdaq Capital Market under the same ticker symbol “ATYR” on a split-adjusted basis when the market opens on October 29, 2026. The new CUSIP number for the Company’s common stock following the Reverse Stock Split is 002120301.

The foregoing description is qualified in its entirety by the Amendment, which is filed as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.
