PART III — NARRATIVE

Aura Systems, Inc. (the "Company") will be unable to file its Quarterly Report on Form 10-Q for the three months ended November 30, 2025 (the “Form 10-Q”) by the prescribed due date because the Company requires additional time to finalize its financial statements. The delay is primarily due to limited labor resources to reconcile certain accounting records. As a result, the Company needs additional time to ensure the accuracy and completeness of its financial reporting. The Company currently expects to file the Form 10-Q within the five-day extension period provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended.
