Rhea-AI Filing Summary

Auddia Inc. entered into warrant exchange agreements with certain holders of its publicly traded warrants on November 6, 2026. The holders agreed to exchange each Existing Warrant for two shares of common stock. The initial exchange provides for 580,023 warrants to be exchanged for 1,160,045 shares; subject to stockholder approval, an additional 4,135,539 warrants will be exchanged for 8,271,077 shares. The transaction is exempt from registration under Section 3(a)(9), and no commission or other remuneration will be paid for it.

Filing Explained

The agreements call for an initial exchange of 1,160,045 shares, not a completed issuance, and another 8,271,077 shares only after stockholder approval; if issued, the shares increase the common share count and reduce existing holders’ percentage ownership absent offsetting changes.

Existing Warrants financial
"holders of the Company’s outstanding publicly traded warrants (the “Existing Warrants”)"
Warrant Exchange financial
"for two shares of the Company’s common stock (the “Warrant Exchange”)"
A warrant exchange is a corporate offer allowing holders of existing warrants (rights to buy company stock at a set price) to swap them for new securities—such as replacement warrants with different strike prices or expiration dates, or for shares or cash. For investors it changes the potential upside, timing and dilution risk—think of trading an old coupon for a new one with different value and expiry, which can preserve or reshape future gains.
Section 3(a)(9) regulatory
"exempt from registration under Section 3(a)(9) of the Securities Act"
Section 3(a)(9) is a provision of U.S. securities law that exempts certain exchanges of an issuer’s own securities with its existing holders from the usual public registration rules, typically when the swap doesn’t involve a public offering or outside buyers. For investors, it matters because such exchanges can change who holds what, affect dilution and liquidity, and may occur with less public disclosure than a registered sale — think of it like swapping old coupons for new ones behind the scenes rather than selling them in a public marketplace.
