As previously disclosed, on August 6, 2026, the Company received a notification letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (the “Nasdaq Staff”) notifying the Company that, for the last 33 consecutive business days, the closing bid price for the Company’s class A common stock (“Class A Common Stock”) had been below the minimum $1.00 per share required for continued listing on The Nasdaq Capital Market pursuant to Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Requirement”).

 

On October 7, 2026, the Company received a letter from the Nasdaq Staff stating that, for the 13 consecutive business days from September 18, 2026 to October 6, 2026, the closing bid price of the Company’s Class A Common Stock had been at $1.00 per share or greater. Accordingly, the Nasdaq Staff determined that the Company has regained compliance with the Minimum Bid Price Requirement, and that the matter is now closed.
