Avnet (NASDAQ: AVT) raises cash with new 2031 bond sale
Avnet, Inc. (AVT) is issuing $550.0 million aggregate principal amount of 5.650% senior unsecured notes due September 1, 2031. The notes price at 99.791% of principal, with semi-annual cash interest payments each March 1 and September 1, starting March 1, 2027.
Net proceeds of about $545.6 million will be used to repay borrowings under Avnet’s senior unsecured revolving credit facility and its accounts receivable securitization program. As of June 27, 2026, Avnet had $500.0 million of secured debt under its securitization program, $2.3 billion of unsecured senior indebtedness, and $285.1 million of subsidiary debt outstanding.
The notes are senior unsecured obligations, effectively subordinated to secured and subsidiary debt, and are not guaranteed by subsidiaries. Avnet may redeem the notes at a make-whole premium before August 1, 2031, and at par thereafter. A Change of Control Triggering Event requires Avnet to offer to repurchase the notes at 101% of principal plus accrued interest. Covenants limit certain secured debt and sale-leaseback transactions but include significant exceptions. The notes will not be listed on any exchange, and an active trading market may not develop.
