The board approved the change on November 3, 2026, and the amended memorandum and articles of association became effective on November 4, 2026.
Axonex AI Group Limited (AXNX) amended its earlier report to add the outstanding Class B ordinary share count before and after the reverse stock split. Mint Inc Ltd (AXNX) reported that Axonex AI Group Limited’s board approved a 2-for-5 reverse stock split of all issued and unissued shares. Outstanding Class A ordinary shares will be reduced from 15,190,742 to approximately 6,076,297, subject to fractional shares being rounded up to the next whole share.
The Class A shares will trade on a post-split basis when the market opens on October 22, 2026. No shareholder vote, consent or approval is required or will be sought. The number of Class A shares underlying options, warrants and other convertible securities will be divided by 2.5, subject to rounding to the nearest whole share. The split is intended to help regain compliance with Nasdaq’s $1.00 per-share minimum bid requirement for continued listing.
