Rhea-AI Filing Summary

Mint Inc Ltd (AXNX) reported that Axonex AI Group Limited’s board approved a 2-for-5 reverse stock split of all issued and unissued shares. Outstanding Class A ordinary shares will be reduced from 15,190,742 to approximately 6,076,297, subject to fractional shares being rounded up to the next whole share.

The Class A shares will trade on a post-split basis when the market opens on October 22, 2026. No shareholder vote, consent or approval is required or will be sought. The number of Class A shares underlying options, warrants and other convertible securities will be divided by 2.5, subject to rounding to the nearest whole share. The split is intended to help regain compliance with Nasdaq’s $1.00 per-share minimum bid requirement for continued listing.

Filing Explained

The board-approved 2-for-5 reverse split consolidates five shares into two and proportionally raises the per-share price; by itself, it leaves company value unchanged, so the changed share count does not represent a change in company value.

Reverse stock split ratio 2-for-5 Each five shares are combined into two shares of the same class
Outstanding Class A ordinary shares before split 15,190,742 shares Before the reverse stock split
Outstanding Class A ordinary shares after split Approximately 6,076,297 shares After the reverse stock split, subject to fractional-share rounding
Minimum bid requirement $1.00 per share Nasdaq requirement for continued listing
Reverse Stock Split technical
"approved a reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
Minimum Bid Requirement regulatory
"the “Minimum Bid Requirement”"
A minimum bid requirement is a rule that a stock’s price must meet or exceed a set floor for certain market actions — for example to remain listed on an exchange, qualify for a tender offer, or participate in a specific auction. It matters to investors because falling below that floor can trigger delisting, limit who can buy or sell the shares, or change the terms of a transaction; think of it like a store’s minimum purchase needed to access a special sale, which affects value and liquidity.
fractional shares technical
"No fractional shares will be issued"
Fractional shares are portions of a whole share of a stock or fund, allowing investors to own less than one full unit. They make it possible to invest a specific dollar amount rather than buy whole shares, like buying a slice of a pizza instead of the entire pie. For investors this lowers the cost barrier, helps with diversification, and lets you reinvest dividends or purchase expensive stocks in small, precise amounts.
convertible securities financial
"options, warrants and other convertible securities"
Convertible securities are bonds or preferred shares that can be exchanged for a company’s common stock at a predetermined price or under specified conditions. They matter because they combine the steadiness of a loan or fixed dividend with the potential upside of ownership; like a safety‑net that carries a one‑time ticket to become a shareholder, they affect expected returns and can dilute existing stock if converted.

On October 2, 2026, the board of directors (the “Board”) of Axonex AI Group Limited (the “Company”) approved a reverse stock split of all of the Company’s issued and unissued shares, including the Class A ordinary shares with no par value (the “Class A Ordinary Shares”) and Class B ordinary shares with no par value, at a ratio of two (2)-for-five (5), such that every five (5) shares of each class will be combined into two (2) shares of the same class (the “Reverse Stock Split”). Pursuant to the BVI Business Companies Act (as amended) and the Company’s Fourth Amended and Restated Memorandum and Articles of Association, the Board is authorized to effect the Reverse Stock Split without the approval of the Company’s shareholders. Accordingly, no shareholder vote, consent or approval is required or will be sought in respect of the Reverse Stock Split.

Upon the opening of the market on October 22, 2026, the Company’s Class A Ordinary Shares will begin trading on the Nasdaq Capital Market (“Nasdaq”) on a post-Reverse Stock Split basis under the current symbol “AXNX”. The new CUSIP number following the Reverse Stock Split will be G6146G125. The Reverse Stock Split will reduce the number of outstanding Class A Ordinary Shares of the Company from 15,190,742 to approximately 6,076,297 Class A Ordinary Shares, and the number of outstanding Class B Ordinary Shares from [*] to approximately [*], in each case subject to the rounding up of fractional shares described below. Every five (5) outstanding Class A Ordinary Shares or Class B Ordinary Shares will be combined into and automatically become two (2) post-Reverse Stock Split Class A Ordinary Shares or Class B Ordinary Shares, as applicable. No fractional shares will be issued as a result of the Reverse Stock Split. Instead, any fractional shares that would have resulted from the Reverse Stock Split will be rounded up to the next whole number.

After the Reverse Stock Split, all options, warrants and other convertible securities of the Company outstanding immediately prior to the Reverse Stock Split will be adjusted by dividing the number of Class A Ordinary Shares into which the options, warrants and other convertible securities are exercisable or convertible by two and one-half (2.5) in accordance with the terms of the plans, agreements or arrangements governing such options, warrants and other convertible securities and subject to rounding to the nearest whole share.

The Reverse Stock Split is intended for the Company to regain compliance with a minimum bid price of $1.00 per share for continued listing on Nasdaq, as set forth in Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Requirement”).

In connection with the Reverse Stock Split, the Company amended and restated its Fourth Amended and Restated Memorandum and Articles of Association to reflect the adjustment of the number of authorized shares of the Company. A copy of such amended and restated memorandum and articles of association of the Company is filed hereto as Exhibit 3.1.
