The Company filed its Annual Report with the Securities and Exchange Commission (the “SEC”) via the SEC’s Electronic Data Gathering, Analysis, and Retrieval system at 5:38 p.m. eastern time on June 29, 2026, which was after the 5:30 p.m. eastern time deadline for such filing. The Company was unable to timely file its Annual Report with the SEC because of technical issues with the Annual Report transmission process.
