Insights

TL;DR: Routine accounting close delay; company expects to use the five-day 12b-25 extension and reports no anticipated change in results.

Blink Charging disclosed a timing delay in completing financial close documentation that prevents timely filing of its quarterly report for the period ended June 30, 2025. The company has elected relief under Rule 12b-25(b) and expects to file within the prescribed five-calendar-day extension. It also confirms that other periodic reports for the past 12 months have been filed and that it does not expect a significant change in operating results compared with the prior-year period. From a financial perspective this reads as a procedural reporting delay rather than an immediate indicator of material financial deterioration, though the market may view late filings as a governance or control flag until the 10-Q is posted.

TL;DR: Management disclosed the delay, provided contact information, and affirmed filing history; disclosure aligns with SEC procedures for late filings.

The Form 12b-25 is signed by the CFO and identifies the reason for the late filing as additional time needed to complete documentation in the financial statement close process. The company checked the option to use the five-calendar-day extension and confirmed that all other required periodic reports in the prior 12 months have been filed. The filing includes a named contact, Michael Bercovich, CFO, with a phone number for follow-up. This form fulfills the procedural disclosure requirements and provides investors with a direct contact for questions.
