bought deal basis financial
"issue ... on a bought deal basis"
An offering done on a bought deal basis is one where an underwriter or syndicate agrees to buy the entire new securities issue from the company up front, taking the risk of reselling those shares or bonds to investors. It matters to investors because it gives the issuer quick, certain access to cash and shifts price and timing risk to the underwriters—think of it like a store selling its whole seasonal stock to a wholesaler who then resells it to customers.
cumulative quarterly fixed dividend financial
"entitled to receive a cumulative quarterly fixed dividend"
A cumulative quarterly fixed dividend is a set payment that a company promises to pay holders of certain shares every three months at a fixed amount or rate; if the company skips a payment, the missed amounts stack up and must be paid later before common shareholders receive dividends. Think of it like a standing monthly bill the company owes investors — it provides predictable income and extra protection for investors because unpaid amounts accumulate and take payment priority, which can affect a company’s cash flow and the market value of those shares.
Base Shelf Prospectus regulatory
"existing short form base shelf prospectus"
A base shelf prospectus is a pre-approved regulatory document that lets a company register a range of securities once and then sell them to the public over time without repeating the full approval process for each offering. For investors it’s like a menu and standing permission slip: it lays out the types of securities, key risks and terms ahead of any specific sale, so buyers can assess potential dilution, timing and the company’s plans before new shares or debt hit the market.
Prospectus Supplement regulatory
"by way of a supplement"
A prospectus supplement is an additional document provided alongside a company's main offering details, offering updated or extra information about a specific financial product being sold. It helps investors understand the latest terms, risks, and details of the investment, similar to how an update or revision clarifies or expands on original instructions, ensuring they have current and complete information before making a decision.
