On February 4, 2026, the Board of Directors (the “Board”) of Black Stone Minerals GP, L.L.C., the general partner (the “General Partner”) of Black Stone Minerals, L.P. (the “Partnership”), appointed Anne Hamman to serve as a member of the Board and a member of the Audit Committee of the General Partner, effective immediately. There are no arrangements or understandings between Ms. Hamman and any other person pursuant to which Ms. Hamman was appointed to serve on the Board. There are no family relationships between Ms. Hamman and any other director or executive officer of the General Partner, and there have been no transactions between Ms. Hamman and the General Partner or the Partnership in the last fiscal year, and none are currently proposed, that would require disclosure under Item 404(a) of Regulation S-K. Ms. Hamman will receive the standard compensation available to the General Partner’s non-employee directors, as discussed in the Partnership’s Proxy Statement filed with the Securities and Exchange Commission on April 30, 2025.
