On July 31, 2026, the Board of Managers of Invesco Capital Management LLC (the “Sponsor”), the sponsor of the Invesco Galaxy Bitcoin ETF, appointed Mr. Matthew Casaccia to serve on the Board of Managers of the Sponsor, effective as of the close of business on August 3, 2026 (the “Effective Date”). Mr. Casaccia will also serve as a member of the Audit Committee of the Board of Managers. Mr. Casaccia will replace Mr. Jordan Krugman, who, as previously disclosed, gave notice of his resignation from the Board of Managers of the Sponsor as of the Effective Date.

There are no arrangements or understandings between Mr. Casaccia and any other person pursuant to which Mr. Casaccia was appointed to serve on the Board of Managers of the Sponsor. There are no transactions or proposed transactions between Mr. Casaccia and Invesco Galaxy Bitcoin ETF that would be required to be reported under Item 404(a) of Regulation S-K.

Matthew Casaccia (43) is Senior Director of Financial Planning and Analysis for Investments (since December 2023) and Global Product (since March 2025) with Invesco Ltd, a global investment management company affiliated with the Sponsor. Overall, he has spent the last 17 years with Invesco Ltd with experience in finance, distribution and the North American transfer agency. Mr. Casaccia holds a BS in Business Administration from Stephen F. Austin State University. Mr. Casaccia’s application as a principal of the Sponsor is being prepared for submission.
