EXPLANATORY NOTE
On June 25, 2025, Bitdeer Technologies Group (the
“Company”) closed the private placement of an additional US$45.0 million principal amount of 4.875% Convertible Senior Notes
due 2031 (the “notes”), pursuant to the full exercise by the initial purchasers of their option granted in connection with
the Company’s previously announced private placement of US$330.0 million principal amount of notes. Following this closing, the
gross proceeds from the notes offering amounted to US$375.0 million.
