Mr. Pitzner will be paid $4,500 each quarter in common stock of the Company for such Board service.

 

There is no arrangement or understanding between Mr. Pitzner and any other person pursuant to which he was selected as a director, and there is no family relationship between Mr. Pitzner and any of the Company’s other directors or executive officers.
