Rhea-AI Filing Summary

CalciMedica, Inc. (CALC) reports an update on its Nasdaq listing status. After previously falling below Nasdaq’s $35,000,000 market value of listed securities requirement, Nasdaq has now determined that CalciMedica satisfies the alternative stockholders’ equity standard under Listing Rule 5550(b)(1), based on reported equity of $5,513,000 as of June 30, 2026. This closes the prior deficiency related to market value of listed securities.

The company remains out of compliance with Nasdaq’s $1.00 Minimum Bid Price Requirement under Listing Rule 5550(a)(2). CalciMedica has until September 14, 2026 to regain compliance. A one-for-five reverse stock split of its common stock became effective at 5:00 p.m. Eastern Time on August 28, 2026, but there is no assurance the company will meet the minimum bid price or maintain overall listing compliance.

Positive

  • Nasdaq MVLS deficiency cured via equity standard: Nasdaq determined CalciMedica now complies with Listing Rule 5550(b)(1) based on $5,513,000 of stockholders’ equity reported as of June 30, 2026, closing the earlier non-compliance related to the $35,000,000 market value of listed securities requirement.

Negative

  • Ongoing Nasdaq minimum bid price deficiency: CalciMedica remains below the $1.00 Minimum Bid Price Requirement, with a compliance deadline of September 14, 2026, and explicitly notes there can be no assurance it will regain compliance or maintain other listing requirements despite a recent one-for-five reverse stock split.

market value of listed securities market
"the market value of listed securities (the “MVLS Requirement”)"
Market value of listed securities is the market value of the shares a company has listed on an exchange, calculated as the closing bid price multiplied by the number of listed shares. Exchanges use it as a continued-listing standard, so a company that stays under the required minimum receives a deficiency notice and is given a set period to recover before facing delisting.
Nasdaq Listing Rule 5550(b)(1) regulatory
"alternative minimum stockholders’ equity requirement set forth under Nasdaq Listing Rule 5550(b)(1)"
Nasdaq Listing Rule 5550(b)(2) regulatory
"not in compliance with Nasdaq’s Listing Rule 5550(b)(2)"
Minimum Bid Price Requirement market
"below $1.00 per share for 30 consecutive business days (the “Minimum Bid Price Requirement”)"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
reverse stock split financial
"implemented a one-for-five reverse stock split of its outstanding common stock"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
