Item 5.02. Departure of Directors or Certain Officers; Election
of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 2, 2025, Cracker
Barrel Old Country Store, Inc. (the “Company”) issued a press release (the “Press Release”), announcing certain
leadership and organizational changes, including the departure of Cammie Spillyards-Schaefer, the Company’s Senior Vice President
and Chief Restaurant and Retail Operations Officer, effective as of October 2, 2025. In connection with her departure, Ms. Spillyards-Schaefer
will receive post-separation benefits and compensation pursuant to her previously disclosed General Severance Agreement and Transitional
Letter Agreement.
