Item 5.02 Departure of Directors or Certain Officers; Election of Officers; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Mr. Jonathan M. Kemper retired from the Board of Directors effective August 31, 2025, due to the mandatory retirement requirements of the Company. Mr. Kemper had been a Board member since 1997 and is the retired Chairman Emeritus of Commerce Bank.
