Rhea-AI Filing Summary

Cadiz Inc. (CDZI) entered into a placement agent agreement with Roth Capital Partners, LLC, as exclusive placement agent, for a registered direct offering of 5,000,000 common shares at $4.20 per share, for an aggregate purchase price of approximately $21 million. Cadiz expects approximately $20 million in net proceeds after placement agent fees and transaction expenses payable by the company. The offering is expected to close on or about October 30, 2026, subject to customary closing conditions.

Cadiz intends to use the net proceeds for general corporate purposes, including overhead, interest payments, working capital, and expenses related to development and construction of the Mojave Groundwater Bank. That may include equipment and materials for facilities related to the Northern and/or Southern Pipeline, as well as business development and other capital expenditures. Cadiz's directors and officers entered into lock-up agreements that generally prohibit selling, transferring, or otherwise disposing of company securities for 90 days without the placement agent's prior written consent.

Filing Explained

Expected net proceeds remain conditional on closing.

The agreed sale of 5 million new common shares is expected to close on or about October 30, 2026, subject to customary conditions; if issued, the shares would reduce existing holders’ percentage ownership absent offsetting changes.

If completed, expected net proceeds of approximately $20 million would exceed the $5.319 million cash balance Cadiz reported at June 30, 2026.

This method allows the company to raise funds quickly and efficiently without needing a public auction, similar to offering exclusive access to a limited number of buyers. For investors, it often provides an opportunity to purchase shares at a favorable price, while giving the company immediate access to capital.

Together with our tribal partner, the Lytton Rancheria of California, we are advancing one of the region’s largest new water supply projects with a clear purpose: delivering affordable, reliable water to people who need it.”
