Rhea-AI Filing Summary

Change Agents Corporation (CHGA) entered waivers with Dune Equity Holdings, LLC and FirstFire Global Opportunities Fund, LLC on October 14, 2026, and issued pre-funded warrants for 62,000 and 37,500 common shares, respectively. The warrants are immediately exercisable at $0.0001 per share. Until stockholder approval, issuances aggregated under Nasdaq Listing Rule 5635(d) are capped at 19.99% of common shares outstanding on the date of the first definitive agreement for those transactions. Holders may not exercise above 4.99% ownership, adjustable to no more than 9.99% with at least 61 days’ prior notice. The waivers also grant piggyback registration rights.

On October 16, 2026, the company executed unsecured notes for $150,000 and $100,000, with $183,335 and $116,665 due at maturity on December 1, 2026, respectively. Chief Strategy Officer Luisa Ingargiola advanced $7,500 on October 13, 2026, for a loan payment, and the company repaid the advance in October 2026.

Filing Explained

June 30 cash equaled 5.1 days of quarterly operating cash use, but does not establish funds for the notes’ December 1 maturity.

The filing reports 1,254,947 common shares outstanding; alongside that base, warrants already issued for 62,000 and 37,500 shares would add shares on exercise, reducing existing holders’ ownership percentages absent offsetting changes.

At June 30, 2026, cash was $39,221, equal to 5.1 days of the last reported quarterly operating cash use; the October notes mature on December 1, 2026, so this historical measure does not establish funds available at maturity.

pre-funded warrants financial
"issued pre-funded warrants to each of Dune and FirstFire"
Pre-funded warrants are financial instruments that give investors the right to purchase a company's stock at a set price, but with most or all of the purchase price paid upfront. They function like a coupon or gift card for stock, allowing investors to buy shares later at a fixed price, which can be beneficial if they want to avoid future price increases. This makes them important for investors seeking flexibility and certainty in their investment plans.
piggyback registration rights financial
"The October 2026 Waivers also granted piggyback registration rights"
A contractual right that lets existing shareholders join a company’s planned public sale of stock so they can sell their own shares at the same time under the same paperwork. It matters to investors because it gives insiders and early holders an easier, often faster way to convert shares to cash, while also potentially increasing the number of shares offered and affecting the share price — like catching a scheduled bus instead of hiring a private ride to get where you need to go.
unsecured promissory notes financial
"the Company executed unsecured promissory notes"
Nasdaq Listing Rule 5635(d) regulatory
"aggregated for purposes of Nasdaq Listing Rule 5635(d)"
Nasdaq Listing Rule 5635(d) is a stock-exchange rule that determines when a company must get shareholder approval before issuing new shares tied to conversions or exercises of existing convertible securities, options or warrants. It matters to investors because it controls potential dilution of their holdings and changes in voting power—think of it like a rule that decides whether a previously agreed‑upon coupon can be redeemed without asking the group again.
Rule 506(b) of Regulation D regulatory
"including Section 4(a)(2) ... and/or Rule 506(b) of Regulation D"
Rule 506(b) of Regulation D is a set of rules that allows companies to raise money from investors without having to register with the government, as long as they follow certain guidelines. It lets companies offer securities to a limited number of investors, often trusted or experienced ones, making it easier and quicker to raise funds compared to traditional methods. This rule matters to investors because it provides access to private investment opportunities that are generally less regulated but still require careful consideration.
