Rhea-AI Filing Summary

ChowChow Cloud International Holdings Ltd reported that its previously announced securities purchase agreement provides for the issuance and sale of 862,069 ordinary shares at $0.58 per share, for an aggregate purchase price of US$500,000. The agreement was entered into with an investor on June 16, 2026.

As of October 21, 2026, the company had not received the full purchase price required to close, and the transaction had not closed; no ordinary shares had been issued under the agreement. ChowChow Cloud informed the investor that it will terminate the agreement unless the outstanding balance is paid in full by October 30, 2026.

Filing Explained

No shares have been issued under the unclosed agreement, so it has not yet reduced existing holders’ percentage ownership; if issued, the additional 862,069 shares would reduce that percentage.

securities purchase agreement financial
"entered into by the Company and an investor"
A securities purchase agreement is a written contract between a buyer and a seller outlining the terms for buying or selling financial assets such as stocks or bonds. It specifies details like the price, quantity, and conditions of the transaction, similar to a shopping list with agreed-upon terms. For investors, it provides clarity and legal protection when transferring ownership of these financial instruments.
private placement financial
"update regarding its previously announced private placement"
A private placement is a sale of securities directly to a selected group of investors, typically institutions or accredited investors, instead of through a public offering. It lets a company raise money faster and with fewer regulatory steps; for existing shareholders it matters because the newly issued shares, often sold at a discount, increase the share count and can dilute their ownership.
aggregate purchase price financial
"for an aggregate purchase price of US$500,000"
The aggregate purchase price is the total amount a buyer pays to acquire a company, assets or securities, including the headline payment plus any assumed debt, fees, taxes and contractually required adjustments. It matters to investors because it shows the true cost of a deal and how much value must be realized after the sale — like knowing the full price of a house once you add closing costs, repairs and outstanding mortgage obligations.
forward-looking statements regulatory
"This release includes “forward-looking statements”"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
