Rhea-AI Filing Summary

Tianci International, Inc. (CIIT) announced that it and its wholly owned subsidiary Tianci Group Holding Limited have entered into a cryptocurrency mining machine hosting agreement with BTC Digital Ltd. (BTCT). Under this agreement, BTCT will provide hosting, installation, testing, and ongoing operations and maintenance services for cryptocurrency mining machines that Tianci has recently contracted to purchase, and will help connect the machines to BTCT’s operating infrastructure in the United States.

The parties plan to assess the performance of the initial batch of equipment and may evaluate additional hosting capacity and broader technical and operational cooperation. Tianci describes this hosting arrangement as a key step in its planned expansion into cryptocurrency mining, which is intended to complement its existing global logistics, mineral trading, electronics sales, and consulting businesses. The company notes that deployment, expansion, operational scale, and financial returns from mining are uncertain and depend on equipment delivery and performance, electricity and site conditions, market prices, mining difficulty, financing, and regulatory and other risks.

Filing Explained

The September 9 filing clarifies that the mining equipment has not yet been deployed: delivery, acceptance, transportation, installation, and testing remain outstanding, so the hosting agreement is a framework for future operations rather than evidence that mining has begun.

Item 8.01 Other Events Other
Voluntary disclosure of events the company deems important to shareholders but not covered by other items.
Item 9.01 Financial Statements and Exhibits Exhibits
Financial statements, pro forma financial information, or exhibit attachments filed with this report.
cryptocurrency mining financial
"plans to enter the cryptocurrency mining business to facilitate the settlement"
Cryptocurrency mining is the process where specialized computers secure and validate transactions on certain digital-currency networks by solving complex puzzles, and in return the miners are rewarded with newly created coins and fees. Think of it as a combination of an auditor and a mint: it keeps the ledger honest and introduces new currency. Investors watch mining because it affects a coin's supply and security, drives costs and profits for mining companies, and creates exposure to energy use and regulatory risk.
hosting agreement financial
"have entered into a cryptocurrency mining machine hosting agreement with"
A hosting agreement is a contract where one party provides space, equipment and ongoing services—physical or virtual—to house another party’s operations, data, or applications, similar to renting a furnished, secure storage unit or office with utilities included. It matters to investors because the terms determine costs, reliability, legal responsibility for data and operations, and how predictable or risky the company’s service delivery and revenue streams will be.
hashrate technical
"actual operating data to gain a clear understanding of hashrate, energy consumption"
Hashrate is a measure of how quickly a computer network can process and verify transactions, often expressed as the number of calculations it can perform in a second. Think of it like the engine power of a car; the higher the hashrate, the more work the network can do in a given time. For investors, a higher hashrate generally indicates a more secure and robust network, which can influence confidence and the value of related digital assets.
digital asset financial
"exploring opportunities in the digital asset and computing infrastructure sectors"
A digital asset is a representation of value or rights that exists only in electronic form—like digital versions of cash, stocks, or collectibles kept in a virtual wallet. They are transferred and recorded using computer systems that make copying or tampering difficult, and can include currencies, tokenized shares, or unique digital items. Investors care because digital assets can offer new ways to diversify, trade and raise capital, but they also bring different risks around price swings, custody and regulation.
forward-looking statements regulatory
"This press release contains forward-looking statements within the meaning"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.

CIIT and BTCT Enter into Cryptocurrency Mining Machine Hosting Agreement to Advance Digital Computing Power Strategy

BTCT to Provide Professional Hosting, Deployment and Operations and Maintenance Support; Companies Plan to Explore Further Cooperation in Computing Power Expansion

HONG KONG, September 9, 2026 — Tianci International, Inc. (Nasdaq: CIIT) (“CIIT” or the “Company”) today announced that the Company and its wholly owned subsidiary, Tianci Group Holding Limited, have entered into a cryptocurrency mining machine hosting agreement with BTC Digital Ltd. (Nasdaq: BTCT) (“BTCT”). Under the agreement, BTCT will provide hosting, installation and testing, and ongoing operations and maintenance services for the cryptocurrency mining machines recently contracted for purchase by the Company, and will assist with connecting the equipment to its operating infrastructure in the United States. Based on the operating performance of the initial batch of equipment, the parties also plan to evaluate additional hosting capacity and opportunities for further technical and operational cooperation.

The Company recently disclosed in a Form 8-K filed with the U.S. Securities and Exchange Commission that its wholly owned subsidiary had entered into a purchase agreement for cryptocurrency mining equipment and plans to enter the cryptocurrency mining business to facilitate the settlement of trade operations carried on by the Company and its subsidiaries. The hosting arrangement with BTCT builds upon the aforementioned equipment purchase and establishes a service framework for the deployment and operation of the equipment following delivery. The relevant equipment remains subject to delivery, acceptance, transportation, installation, and testing, and will be progressively deployed and placed into operation thereafter.

Under the hosting agreement, BTCT will provide services, including hosting facilities, electricity, network connectivity, environmental controls, security, technical support, and installation and testing. The parties will proceed with deployment based on equipment delivery and site conditions, with stable operations serving as the basis for subsequent operational evaluation .

“Following the execution of the mining machine purchase agreement, we immediately began preparations for hosting and deployment. Our initial priority in working with BTCT is to ensure that the equipment is deployed smoothly and operates reliably, while using actual operating data to gain a clear understanding of hashrate, energy consumption and costs. Once the initial batch of machines is operating reliably and has reached a stable level of performance, we look forward to further expanding our hosting capacity and operations and maintenance cooperation with BTCT, while continuing to scale our hashrate deployment toward higher capacity targets,” said Shufang Gao, Chief Executive Officer of CIIT.

Future Deployment and Expansion of Computing Capacity

To support the expansion of its mining operations, the Company plans to deepen its cooperation with BTCT based on the existing hosting arrangement and to evaluate potential follow-on arrangements relating to the deployment of additional mining machines, hosting capacity, equipment operations and maintenance, energy efficiency optimization, and operational monitoring. The Company will also evaluate alternative hosting locations, power arrangements and cooperation models based on its risk management needs in an effort to reduce the risks associated with excessive operational concentration. The foregoing target is subject to market conditions, financing arrangements, availability of mining machines, site and power resources, regulatory requirements and other operational conditions. Rated hashrate does not represent actual online hashrate, and the Company cannot guarantee the timing of deployment or expansion, the ultimate scale of the operations, mining output or financial returns.
