On July 17, 2026, the Board of Directors (the “Board”) of Cingulate Inc. (the “Company”) determined to eliminate the Chief Legal Officer position. As a result, Mr. Nilay Patel will no longer serve as an officer of the Company, effective as of August 3, 2026 (the “Separation Date”) and his termination will be treated as a termination without cause pursuant to the terms of his existing employment agreement with the Company. The Company does not intend to hire a replacement for the Chief Legal Officer role.
