Rhea-AI Filing Summary

C3is Inc. (CISS) will combine every five issued common shares into one in a 1-for-5 reverse stock split, effective at 11:59 p.m. Eastern Time on November 8, 2026; split-adjusted trading begins November 9. The company states that outstanding common shares will decrease from approximately 4.2 million to approximately 0.84 million, without changing the $0.01 par value per share.

C3is says the split is intended to increase its market price and believes it will allow the company to satisfy Nasdaq’s minimum bid price requirement. Outstanding warrants and Series A Convertible Preferred Stock will be proportionately adjusted. Class B and Class C warrants will receive further adjustments to exercise price and issuable shares during a period ending on the fifth trading day after the split takes effect. No fractional shares will be issued; holders otherwise entitled to fractions will receive cash based on the November 6 closing price, adjusted for the split.

reverse stock split financial
"one-for-five (1-for-5) reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
split-adjusted basis financial
"begin trading on a split-adjusted basis"
An adjustment to historical share prices and share counts that reflects past stock splits or reverse splits so that old data lines up with the current number of shares. Think of it like resizing an old photograph so it matches a new frame: it keeps price charts, returns and per‑share metrics comparable over time, which matters to investors who need accurate performance, valuation and trend analysis.
fractional shares financial
"No fractional shares will be issued"
Fractional shares are portions of a whole share of a stock or fund, allowing investors to own less than one full unit. They make it possible to invest a specific dollar amount rather than buy whole shares, like buying a slice of a pizza instead of the entire pie. For investors this lowers the cost barrier, helps with diversification, and lets you reinvest dividends or purchase expensive stocks in small, precise amounts.
minimum bid price requirement regulatory
"satisfy the minimum bid price requirement for maintaining listing on Nasdaq"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
Split Ratio 1-for-5 reverse split
Effective Date November 8, 2026
Shares Before Split 4,200,000
Shares After Split 840,000

C3IS INC. ANNOUNCES REVERSE STOCK SPLIT

To be effective November 9, 2026

Aiming to meet the minimum bid price requirement for maintaining listing on Nasdaq

ATHENS, GREECE – November 5, 2026 – C3IS INC. (the “Company”) (Nasdaq: CISS) today announced that its board of directors has determined to effect a one-for-five (1-for-5) reverse stock split of the Company’s common stock, par value $0.01 per share.

The reverse stock split will take effect at 11:59 pm Eastern Time on November 8, 2026, and the Company’s common stock will begin trading on a split-adjusted basis on The Nasdaq Capital Market (“Nasdaq”) as of the opening of trading on November 9, 2026. The CUSIP number of Y18284508 will be assigned to the Company’s common stock when the reverse stock split becomes effective.

When the reverse stock split becomes effective, every five (5) of the Company’s issued shares of common stock will be combined into one issued share of common stock, without any change to the par value per share. This will reduce the number of outstanding shares of common stock from approximately 4.2 million shares to approximately 0.84 million shares. The Company’s outstanding warrants and Series A Convertible Preferred Stock will be proportionately adjusted to increase the exercise price and reduce the number of shares issuable upon exercise. With respect to the Company’s Class B Warrants and Class C Warrants, the exercise price and number of shares issuable upon exercise will be adjusted further in an adjustment period ending on the fifth trading day after the effective time of the reverse split pursuant to the terms of such warrants.

No fractional shares will be issued in connection with the reverse stock split. Stockholders who would otherwise hold a fraction of a share of common stock of the Company will receive a cash payment in lieu thereof at a price equal to that fraction of a share to which the stockholder would otherwise be entitled, multiplied by the closing price of the Company’s common stock on Nasdaq on November 6, 2026 (as adjusted for the reverse split).

Stockholders with shares held in book-entry form or through a bank, broker, or other nominee are not required to take any action and will see the consequence of the reverse stock split reflected in their accounts on or after November 9, 2026. Such beneficial holders may contact their bank, broker, or nominee for more information.

The reverse stock split ratio approved by the board of directors is within the range of ratios for a reverse stock split authorized by the stockholders of the Company.

The purpose of the reverse stock split is to increase the market price of the Company’s common stock. The Company believes that the reverse stock split will increase the market price for its common stock and allow it to satisfy the minimum bid price requirement for maintaining listing on Nasdaq.
