Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Cleveland-Cliffs Inc. reported third-quarter 2026 revenue of $5.612 billion, compared with $4.734 billion in the year-earlier quarter. GAAP net income was $165 million, versus a net loss of $234 million, and Adjusted EBITDA was $612 million, compared with $143 million. Steel shipments were 4.2 million net tons, and total liquidity was $3.2 billion as of September 30, 2026.

The company expects fourth-quarter 2026 Adjusted EBITDA of approximately $715 million and would expect 2027 Adjusted EBITDA to exceed $4 billion, based on new contracts already signed with clients and prevailing index price forecasts. Management attributed the expected Q4 increase to pricing, partly offset by seasonality, maintenance outages, input costs and incentive compensation accruals.

Cleveland-Cliffs said it indefinitely idled Stelco’s galvanizing lines while maintaining total production tonnage, and said approximately 2,000 Canadian jobs are preserved. The company said affected employees will return to work as soon as the current situation improves.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

Third-quarter results improved from Q2, while the expected Q4 debt reduction has not yet been reported as completed.

The 8-K reports completed third-quarter results: adjusted EBITDA was $612 million versus $286 million in Q2, and GAAP net income moved from a $134 million Q2 loss to $165 million in Q3. Management expects major debt reduction in Q4, citing anticipated free cash flow and property-sale proceeds; the reduction remains a forecast, not a reported completed action.

Adjusted EBITDA financial
"reported Adjusted EBITDA of $612 million"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
adjusted net income financial
"adjusted net income of $0.28 per diluted share"
Adjusted net income is a company's reported profit after removing unusual, one-time, or non-operational items so the number reflects the business’s regular earning power. Investors use it like a cleaned-up scorecard — similar to judging a player’s season performance without a few fluke games — to compare companies or assess trends without being misled by rare gains or losses that won’t affect future cash flow.

NEWS RELEASE
Cleveland-Cliffs Reports Third-Quarter 2026 Results

CLEVELAND—October 19, 2026—Cleveland-Cliffs Inc. (NYSE: CLF) today reported third-quarter results for the period ended September 30, 2026.
Third-Quarter Consolidated Results
•Revenues of $5.6 billion
•Steel shipments of 4.2 million net tons
•GAAP net income of $165 million
•Adjusted EBITDA2 of $612 million
•GAAP net income of $0.26 per diluted share and adjusted net income1 of $0.28 per diluted share
•Liquidity of $3.2 billion as of September 30, 2026
Third-quarter 2026 consolidated revenues were $5.6 billion, compared to $5.2 billion in the second quarter of 2026.
For the third quarter of 2026, the Company recorded GAAP net income of $165 million, or $0.26 per diluted share, with an adjusted net income1 of $0.28 per diluted share. This compares to a second quarter 2026 GAAP net loss of $134 million, or $0.25 per diluted share, with an adjusted net loss1 of $0.20 per diluted share.
For the third quarter of 2026, the Company reported Adjusted EBITDA2 of $612 million, a $326 million improvement compared to Adjusted EBITDA2 of $286 million recorded in the second quarter of 2026.
Cliffs’ Chairman and CEO, Lourenco Goncalves, said: “Third quarter was our strongest quarter in three years, with adjusted EBITDA of $612 million, a number above the $575 million guidance we provided three months ago. Average selling price, sales volumes, and unit costs all moved in the right direction relative to Q2 performance. We expect fourth quarter adjusted EBITDA to further increase, even with typical fourth-quarter seasonality and planned maintenance outages. We continued to reduce debt in Q3 and, with amplified free cash flow in Q4 and property sale proceeds, we expect a major debt reduction in the fourth quarter. With all that, we remain on track to reach our leverage target of under 2.5x net debt to EBITDA by the middle of next year."
1

Mr. Goncalves added: "The trade environment continues to support a healthy American steel industry. Imports remain well below historical levels, lead times are extended, and our customers increasingly recognize the value of a reliable domestic supply chain. As a result, our 2027 outlook has improved materially since our last earnings call, as several of the initiatives we identified as drivers of future earnings growth are developing more favorably than originally expected. Based on the new contracts we have already signed with our clients and prevailing index price forecasts, we would expect our 2027 adjusted EBITDA to exceed $4 billion."
Mr. Goncalves concluded: "Third quarter was Stelco’s strongest quarter since we acquired the company two years ago. The Canadian hot-rolled market has improved substantially, turning Stelco into a positive contributor to EBITDA in Q3. However, more needs to be done by the Canadian government to correct a clearly oversupplied market for galvanized steel in Canada. As we haven’t seen, and do not anticipate, any action aimed at improving the unsustainable situation for galvanized steel, we made the difficult but necessary decision to indefinitely idle our galvanizing lines at Stelco. The employees impacted by this will be brought back to work as soon as the current situation improves. In the meantime, as we concentrate on hot rolled products that actually have a market, total production tonnage at Stelco will be maintained, Stelco’s contribution to Cliffs’ EBITDA will further increase, and approximately 2,000 Canadian jobs are preserved.”

In addition to the consolidated financial statements presented in accordance with U.S. GAAP, the Company has presented adjusted net income (loss) attributable to Cliffs shareholders and adjusted earnings (loss) per common share attributable to Cliffs shareholders - diluted. These measures are used by management, investors, lenders and other external users of our financial statements to assess our operating performance and to compare operating performance to other companies in the steel industry. Additionally, we believe these measures are useful to asses the earnings power of the business because they exclude items that may obscure underlying commercial and operating trends, thereby providing additional insight into our true performance. The presentation of these measures is not intended to be considered in isolation from, as a substitute for, or as superior to, the financial information prepared and presented in accordance with U.S. GAAP. The presentation of these measures may be different from non-GAAP financial measures used by other companies. A reconciliation of these consolidated measures to their most directly comparable GAAP measures is provided in the table below.

2 CLEVELAND-CLIFFS INC. AND SUBSIDIARIES
NON-GAAP RECONCILIATION - EBITDA AND ADJUSTED EBITDA
In addition to the consolidated financial statements presented in accordance with U.S. GAAP, the Company has presented EBITDA and Adjusted EBITDA on a consolidated basis. We are unable to reconcile, without unreasonable effort, our expected adjusted EBITDA for the fourth quarter of 2026 and full-year 2027 to its most directly comparable GAAP financial measure, net income, due to the uncertainty and inherent difficulty of predicting the occurrence and the financial impact of items impacting comparability. For the same reasons, we are unable to address the probable significance of the unavailable information.
