How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Gross billings financial
"Gross billings are the total dollar value of customer purchases"
Gross Billings is the total amount of money a company earns from selling its products or services before any expenses or discounts are taken out. It shows how much business the company is doing overall and helps investors understand its growth or size. Think of it as the total sales receipt before deducting costs or returns.
Adjusted EBITDA financial
"Adjusted EBITDA (a non-GAAP financial measure defined below)"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.

Management Commentary

“We delivered record results across certain key financial metrics in Q3, driven by strong momentum across our vendor portfolio, continued execution against our strategic priorities and contributions from our acquisition of interworks.cloud (“Interworks”) earlier this year,” said CEO Dale Foster. “Our focused line card is central to our performance as 19 of our top 20 vendors generated sequential growth during the quarter. We are also seeing meaningful progress across several newer relationships, including Fortinet and Darktrace, underscoring our ability to identify and develop high-impact partners. As we expand these relationships and grow our vendor portfolio, we are making strategic investments in technology and automation to support greater scale, efficiency and operating leverage across our global platform.”

“Subsequent to quarter end, we expanded our European presence through the acquisition of NeoVAD, bolstering our position in France with a highly complementary team, reseller network and vendor portfolio. The transaction builds on our investments across Europe and creates additional opportunities to deepen key vendor relationships, broaden the solutions available to our channel partners and leverage our existing infrastructure across the region. We believe NeoVAD is an excellent strategic fit and another important step in building greater scale and capabilities across our European operations.”

“Looking ahead, we remain focused on identifying emerging technologies that can strengthen our line card and support continued organic growth. We will also evaluate accretive acquisition opportunities that fit Climb’s culture and high-touch model, with Europe as a key area of focus. We believe our strong balance sheet, coupled with our proven track record of execution, will enable us to close out 2026 on a strong note and deliver another year of record performance.”

Third Quarter 2026 Financial Results

Net sales in the third quarter of 2026 increased 37% to $220.3 million, compared to $161.3 million for the same period in 2025. This reflects strong double-digit organic growth from new and existing vendors. In addition, gross billings in the third quarter of 2026 increased 40% to $706.4 million, compared to $504.6 million in the year-ago period.

Gross profit in the third quarter of 2026 increased 28% to $33.0 million, compared to $25.7 million for the same period in 2025. The increase was driven by organic growth from new and existing vendors in both North America and Europe, as well as contribution from Interworks.

Selling, general, and administrative (“SG&A”) expenses in the third quarter of 2026 were $20.9 million, compared to $16.2 million in the year-ago period. The increase was primarily attributable to SG&A associated with Interworks and variable sales compensation attributed to the growth in organic gross profit. SG&A in Q3 2026 was also impacted by investments in IT infrastructure and automation initiatives designed to improve operating efficiencies. SG&A as a percentage of gross billings decreased to 3.0% for the third quarter of 2026 compared to 3.2% in the year-ago period.

Net income in the third quarter of 2026 increased 69% to $7.9 million or $0.43 per diluted share, compared to $4.7 million or $0.25 per diluted share in the prior year period. Adjusted net income increased 34% to $8.0 million or $0.43 per diluted share, compared to $6.0 million or $0.33 per diluted share for the year-ago period.

Adjusted EBITDA in the third quarter of 2026 increased 35% to $14.7 million compared to $10.9 million in the same period in 2025. Effective margin, which is defined as adjusted EBITDA as a percentage of gross profit, increased 230 basis points to 44.6%, compared to 42.3% for the same period in 2025.

On September 30, 2026, cash and cash equivalents were $66.9 million, compared to $36.6 million on December 31, 2025. The increase in cash was primarily attributed to the timing of receivable collections and payables. Climb had no outstanding debt on September 30, 2026, with no borrowings outstanding under its $50 million revolving credit facility.

Non-GAAP Financial Measures

Climb Global Solutions uses non-GAAP financial measures, including adjusted net income, adjusted EBITDA and effective margin, as supplemental measures of the performance of the Company’s business. Use of these financial measures has limitations, and you should not consider them in isolation or use them as substitutes for analysis of Climb’s financial results under generally accepted accounting principles in the United States of America (“U.S. GAAP”). The attached tables provide definitions of these measures and a reconciliation of each non-GAAP financial measure to the most nearly comparable measure under U.S. GAAP.

Key Operational Metric

Gross Billings

Gross billings are the total dollar value of customer purchases of goods and services during the period, net of customer returns and credit memos, sales, or other taxes. Gross billings include the transaction values for certain sales transactions that are recognized on a net basis, and, therefore, includes amounts that will not be recognized as revenue. We use gross billings as an operational metric to assess the volume of transactions or market share for our business as well as to understand changes in our accounts receivable and accounts payable. We believe gross billings will aid investors in the same manner.

(1)

We define adjusted EBITDA, as net income, plus provision for income taxes, depreciation, amortization, share-based compensation, interest expense, acquisition related costs and change in fair value of acquisition contingent consideration. We define effective margin as adjusted EBITDA as a percentage of gross profit. We provided a reconciliation of adjusted EBITDA to net income, which is the most directly comparable US GAAP measure. We use adjusted EBITDA as a supplemental measure of our performance to gain insight into our businesses profitability, operating performance and performance trends, and to provide management and investors a useful measure for period-to-period comparisons by excluding items that management believes are not reflective of our underlying operating performance. Management uses effective margin to assess the proportion of gross profit converted into adjusted EBITDA. We believe this ratio assists investors in comparing operating performance across periods with different revenue and product mixes. Accordingly, we believe that Adjusted EBITDA provides useful information to investors and others in understanding and evaluating our operating results. Adjusted EBITDA is also a component to our financial covenants in our credit facility. Our use of adjusted EBITDA has limitations, and you should not consider it in isolation or as a substitute for analysis of our financial results as reported under US GAAP. In addition, other companies, including companies in our industry, might calculate adjusted EBITDA, or similarly titled measures differently, which may reduce their usefulness as comparative measures.

We define adjusted net income as net income excluding acquisition related costs, net of income taxes and the change in fair value of acquisition contingent consideration. We provided a reconciliation of adjusted net income to net income, which is the most directly comparable U.S. GAAP measure. We use adjusted net income and adjusted net income per common share as supplemental measures of our performance to gain insight into our businesses profitability, operating performance and performance trends, and to provide management and investors a useful measure for period-to-period comparisons by excluding items that management believes are not reflective of our underlying operating performance. Accordingly, we believe that adjusted net income and adjusted net income per common share provide useful information to investors and others in understanding and evaluating our operating results. Our use of adjusted net income has limitations, and you should not consider it in isolation or as a substitute for analysis of our financial results as reported under U.S. GAAP. In addition, other companies, including companies in our industry, might calculate adjusted net income, or similarly titled measures differently, which may reduce their usefulness as comparative measures.

Gross billings are the total dollar value of customer purchases of goods and services during the period, net of customer returns and credit memos, sales, or other taxes. Gross billings include the transaction values for certain sales transactions that are recognized on a net basis, and, therefore, include amounts that will not be recognized as revenue. We use gross billings as an operational metric to assess the volume of transactions or market share for our business as well as to understand changes in our accounts receivable and accounts payable. We believe gross billings will aid investors in the same manner.
