On November 3, 2025, the Registrant announced Dino E. Robusto’s tenure as Executive Chairman of the Board, and director, will end on December 31, 2025 in accordance with the Employment Agreement between Mr. Robusto and the Registrant, dated as of June 5, 2024 and also announced the appointment of Douglas M. Worman, President and Chief Executive of the Registrant, as Chairman of the Board of the Registrant, effective January 1, 2026. The Registrant’s Board of Directors have approved the decrease in the size of the Board to ten, effective January 1, 2026.
