How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

At September 30, 2026, Traeger reported $400,449 thousand in notes payable, $67,814 thousand in cash, and 2,802,459 common shares outstanding.

The 8-K furnishes Traeger’s completed third-quarter results; its September 30, 2026 balance sheet listed $400,449 thousand of notes payable and $67,814 thousand of cash, with notes payable exceeding cash.

Traeger reported that common shares issued and outstanding increased from 2,741,312 at December 31, 2025 to 2,802,459 at September 30, 2026.

The release says all share and per-share amounts were retroactively adjusted for the 1-for-50 reverse split effective March 17, 2026; a reverse split reduces share count and proportionally raises per-share price, without changing company value by itself.

Adjusted EBITDA financial
"Adjusted EBITDA was a loss of $3.3 million"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
Free Cash Flow financial
"Free Cash Flow is expected to be at least $30 million"
Free cash flow is the amount of money a company has left over after paying all its expenses and investing in its business, like buying equipment or updating facilities. It shows how much cash is available to reward shareholders, pay down debt, or save for future growth. This helps investors understand if a company is financially healthy and able to grow.
Adjusted gross margin financial
"Adjusted gross margin"
Adjusted gross margin is a measure of how much profit a company makes from its sales after accounting for certain expenses or one-time costs, but before deducting other operating expenses. It helps investors see the company's core profitability more clearly by removing factors that might distort the usual profit picture, similar to a runner measuring their speed without considering obstacles or weather. This metric provides a clearer view of the company's ongoing financial health.
antidilutive financial
"all potentially dilutive securities were antidilutive"
Describes a potential common share — such as a convertible bond, convertible preferred, option or warrant — that would, if included in the diluted earnings-per-share calculation, increase (or fail to decrease) reported earnings per share rather than dilute it. Accounting rules require such securities to be excluded from diluted EPS because their assumed conversion would make EPS higher (or make a loss per share smaller), so they are not treated as dilutive when reporting diluted figures.

TRAEGER ANNOUNCES THIRD QUARTER FISCAL 2026 RESULTS

Narrows FY26 Revenue and Adjusted EBITDA Guidance Ranges with the Midpoints Unchanged, and Reiterates Gross Margin and Free Cash Flow Guidance

SALT LAKE CITY, UT, November 4, 2026 (BUSINESS WIRE) -- Traeger, Inc. ("Traeger" or the "Company") (NYSE: COOK), creator and category leader of the wood pellet grill, today announced its financial results for the three months ended September 30, 2026.
Third Quarter FY26 Results
•Total revenues decreased 40.4% to $74.7 million
•Grill revenues decreased 48.1% to $39.7 million
•Net loss of $28.5 million
•Adjusted EBITDA loss of $3.3 million
•Operating cash flow of $9.8 million and free cash flow of $8.4 million
Jeremy Andrus, CEO of Traeger, commented, "Our third-quarter revenue came in at the low end of the pacing we outlined last quarter, with some activity shifting into the fourth quarter. We believe consumer demand remains healthier than our reported revenue suggests, particularly at more accessible price points. We expect to return to revenue and Adjusted EBITDA growth in the fourth quarter, supported by channel expansion and the activity that shifted out of the third quarter."
“Looking ahead to our national Lowe’s launch in spring 2027, we believe broader distribution, together with Westwood and Irontop, will expand access to the Traeger brand and create new opportunities for household acquisition," continued Andrus.
“The work we have done through Project Gravity has given us a simpler operating model, a stronger balance sheet, and the capacity to invest behind the consumer and our retail partners. Combined with broader distribution and a stronger product portfolio, we believe these foundations position Traeger to return to profitable growth in 2027," concluded Andrus.

Operating Results for the Third Quarter
Total revenue decreased 40.4% to $74.7 million, compared to $125.4 million in the third quarter last year.
•Grills decreased 48.1% to $39.7 million as compared to the third quarter last year. The decrease reflects comparisons against elevated retailer purchases in the third quarter of last year, as well as product and channel actions under Project Gravity. These dynamics contributed to lower average selling prices and unit volumes compared with the third quarter of last year.
•Consumables decreased 23.1% to $19.4 million as compared to the third quarter last year. The decrease was primarily driven by lower wood pellet sales, reflecting seasonal ordering timing and changes in retail channel dynamics.
•Accessories decreased 34.1% to $15.5 million as compared to the third quarter last year. This decrease was driven primarily by lower sales of MEATER smart thermometers and Traeger branded accessories.
Gross profit decreased to $25.0 million, compared to $48.5 million in the third quarter last year. Gross margin was 33.5% in the third quarter, compared to 38.7% in the same period last year. The decrease in gross margin was driven primarily by the timing of trade spend, deleverage of fixed warehousing expenses on lower revenue, and continued margin pressure in our MEATER business, partially offset by an IEEPA tariff refund benefit.
Sales and marketing expenses were $14.3 million, compared to $20.0 million in the third quarter last year. The decrease in sales and marketing expenses was primarily due to lower employee-related costs and lower demand creation spend, reflecting cost reduction actions associated with Project Gravity.
General and administrative expenses were $19.9 million, compared to $22.2 million in the third quarter last year. The decrease in general and administrative expenses was primarily due to lower employee-related costs, reflecting cost reduction actions associated with Project Gravity.
Restructuring and other costs were $1.7 million, compared to $6.2 million in the third quarter last year. The decrease was primarily driven by reduced consulting fees, as well as lower severance and other personnel costs.
Net loss was $28.5 million in the third quarter, or a loss of $10.33 per diluted share1, compared to net loss of $89.8 million in the third quarter of last year, or a loss of $33.46 per diluted share1, which included a non-cash goodwill impairment charge of $74.7 million.
Adjusted net loss was $18.7 million, or $6.77 per diluted share, compared to $22.3 million, or $8.31 per diluted share in the third quarter last year.2
Adjusted EBITDA was a loss of $3.3 million in the third quarter compared to Adjusted EBITDA of $13.8 million in the same period last year.2
1 This press release reflects the impact of the 1-for-50 reverse stock split of the Company's common stock, par value $0.0001 per share, effective on March 17, 2026. All share and per share amounts have been retroactively adjusted to reflect the reverse stock split for all periods presented. See our Form 10-Q for the quarter ended September 30, 2026 for additional information. Additionally, all potentially dilutive securities were antidilutive for the periods presented and were therefore excluded from the computation of diluted net loss per share as of September 30, 2026 and 2025.

RECONCILIATIONS OF AND OTHER INFORMATION REGARDING NON-GAAP FINANCIAL MEASURES
(unaudited)
In addition to our results and measures of performance determined in accordance with U.S. GAAP, we believe that certain non-GAAP financial measures are useful in evaluating and comparing our financial and operational performance over multiple periods, identifying trends affecting our business, formulating business plans and making strategic decisions.
Each of Adjusted EBITDA, Adjusted Net Loss, Adjusted Net Loss per share, Adjusted EBITDA Margin, Adjusted Net Loss Margin, and Adjusted Gross Margin are key performance measures that our management uses to assess our financial performance and is also used for internal planning and forecasting purposes. We believe that these non-GAAP financial measures are useful to investors and other interested parties in analyzing our financial performance because they provide a comparable overview of our operations across historical periods. In addition, we believe that providing each of Adjusted EBITDA and Adjusted Net Loss, together with a reconciliation of Net Loss to each such measure, and providing Adjusted Net Loss per share, together with a reconciliation of Net Loss per share to such measure, and Adjusted EBITDA Margin, Adjusted Net Loss Margin, and Adjusted Gross Margin, together with a reconciliation of Net Loss Margin and Gross Margin to such measures, helps investors make comparisons between our company and other companies that may have different capital structures, different tax rates, and/or different forms of employee compensation. We also believe that providing Free Cash Flow, together with a reconciliation of Net cash provided by operating activities to such measure, helps investors assess our liquidity and our ability to generate cash from operations. For example, due to finite-lived intangible assets included on our balance sheet following our corporate reorganization in 2017, we have significant non-cash amortization expense attributable to the nature of our capital structure.
Each of Adjusted EBITDA, Adjusted Net Loss, Adjusted Net Loss per share, Adjusted EBITDA Margin, Adjusted Net Loss Margin, and Adjusted Gross Margin are used by our management team as an additional measure of our performance for purposes of business decision-making, including managing expenditures, and evaluating potential acquisitions. Period-to-period comparisons of Adjusted EBITDA, Adjusted Net Loss, and Adjusted Net Loss per share, Adjusted EBITDA Margin, Adjusted Net Loss Margin, and Adjusted Gross Margin help our management identify additional trends in our financial results that may not be shown solely by period-to-period comparisons of Net Loss or Net Loss per share. Period-to-period comparisons of Free Cash Flow help our management identify additional trends in our liquidity that may not be shown solely by period-to-period comparisons of Net cash provided by operating activities. In addition, we may use Adjusted EBITDA in the incentive compensation programs applicable to some of our employees. Each of Adjusted EBITDA, Adjusted Net Loss, Adjusted Net Loss per share, Adjusted EBITDA Margin, Adjusted Net Loss Margin, and Adjusted Gross Margin have inherent limitations because of the excluded items, and may not be directly comparable to similarly titled metrics used by other companies.

The following table presents a reconciliation of Net cash provided by operating activities, the most directly comparable financial measure calculated in accordance with U.S. GAAP, to Free Cash Flow on a consolidated basis. A reconciliation of Free Cash Flow guidance to Net cash provided by operating activities on a forward-looking basis cannot be provided without unreasonable efforts, as the Company is unable to provide reconciling information with respect to the impact for the purchases of property, plant and equipment, which is an adjustment to Free Cash Flow.
