Here are the 8-K filings from Creatd Inc (CRTD) in our archive since June 2025, newest first, and each one links through to the document itself with the summary and the scores our analysis gives it.
An 8-K covers material events a company has to report between its quarterly reports, so if you follow CRTD and want that one kind of document rather than the whole filing history, this is the page to keep. The company's other filings, of every form, are on the full CRTD filings page.
Creatd, Inc. appointed Claudia Albelais as Chief Financial Officer and principal financial officer effective November 2, 2026; Jeremy Frommer ceased serving as principal financial officer upon her appointment. Albelais’s annual base salary increased to $212,500. She had served as Creatd’s Controller since May 2026 and previously was a Senior Manager in the consulting practice of Macias Gini & O’Connell LLP from August 2021 to May 2026.
Effective November 2, 2026, the board elected Chelsea Pullano as a director. Pullano will chair the Governance Committee and, upon listing of Creatd’s common stock on a national securities exchange, serve on the Audit Committee. She will receive a monthly cash retainer and quarterly stock option grants under a Board of Directors Agreement. The press release identifies her as an independent director and the board’s fifth member, and says she previously served as Creatd’s CFO.
Creatd, Inc. and C2 Live mutually terminated their binding letter of intent on October 27, 2026, so the proposed acquisition of all issued and outstanding C2 Live equity not already owned by Creatd will not be consummated. The LOI contemplated consideration in Creatd common stock and a new series of non-voting convertible preferred stock, and provided for a definitive agreement and closing on or before October 31, 2026. The proposal followed Creatd’s previously announced 10% investment in C2 Live.
Creatd continues to hold its C2 Live investment, including 968,361 shares of C2 Live common stock acquired under a share exchange agreement dated September 23, 2026. The parties expect to continue their dialogue, but there is no assurance they will agree to or complete a transaction. Creatd says it intends to pursue an uplisting to a national securities exchange, strengthen its balance sheet and stockholders’ equity, evaluate potential acquisitions of complementary, cash-flow-positive businesses, and explore strategic alternatives for certain existing assets. The company also states there is no assurance it will satisfy applicable listing standards or pursue or complete a transaction.
Creatd, Inc. (CRTD) entered into a binding letter of intent with C2 Capital Group, Inc., in which Creatd currently holds a minority equity interest, to acquire C2’s remaining outstanding equity. The consideration would consist of Creatd common stock and a new series of non voting convertible preferred stock, equal in the aggregate to approximately 12,900,000 shares of common stock on an as-converted basis.
Closing is subject to execution of a definitive agreement and other customary conditions. Each party may be required to pay the other a break up fee in specified circumstances.
Creatd, Inc. (CRTD) acquired a 10% interest in C2 Capital Group, Inc., operator of C2 Live, in a share exchange completed September 23, 2026. C2 issued 968,361 newly issued common shares to Creatd, representing 10% of C2’s issued and outstanding common stock. Creatd issued 300,000 common shares and 25,064 Series B preferred shares, convertible into at least 668,361 common shares. The exchange used a $3.75-per-share common-equivalent value; neither party paid cash. Series B is non-voting, has a fixed $3.75 conversion price and a 4.99% beneficial ownership limitation, and cannot be converted before the day following the six-month anniversary of its issuance.
Creatd also signed a non-binding letter of intent covering C2’s remaining 90% and said it would complete due diligence in the fourth quarter of 2026. The company expects the initial investment to add approximately $3.6 million to its current shareholders’ net equity of nearly $5 million, and expects about $8 million in total stockholders’ net equity in its third-quarter financials.
Creatd, Inc. reports that it has regained full SEC reporting status after its Form S-1 became effective on August 11, 2026 and it filed its Form 10-Q for the quarter ended June 30, 2026 on August 13, 2026. This is the company’s first periodic report since the third quarter of 2023.
The filing highlights a substantially rebuilt balance sheet. Total current assets increased to $8.4 million as of June 30, 2026 from approximately $750,000 at the end of 2025, driven largely by the sale of Flyte. Proceeds from that sale are reflected as $4.5 million of marketable securities and $3.4 million of notes receivable. Working capital improved to a positive $1.1 million from a negative $6.8 million, an improvement of nearly $8 million, moving Creatd from a deficit to a positive liquidity position and supporting its stated aim of pursuing a national exchange listing.
