Rhea-AI Filing Summary

CoinShares PLC approved a program to repurchase up to $40 million of its ordinary shares, pursuant to authority granted at its September 15, 2026 Extraordinary General Meeting. The program is authorized until the next Annual General Meeting, expected in Q2 2027, and will be funded from existing digital asset treasury resources. CoinShares said it sold its corporate treasury holding of Ethereum and 50% of its corporate treasury holding of Solana earlier in October, reallocating that capital toward repurchases.

Repurchases will be conducted in the open market through independent brokers, considering applicable blackout periods and in accordance with applicable law and the conditions of the SEC’s Rule 10b-18 safe harbor. They may be effected through trading plans established under Rule 10b5-1. The timing and amount will depend on market conditions and other relevant factors; the program does not require a minimum repurchase and may be suspended or discontinued at any time.

Share repurchase authorization Up to $40 million Program approved by the Board
Shareholder authority date September 15, 2026 Extraordinary General Meeting
Expected next Annual General Meeting Q2 2027 Program authorization remains in effect until that meeting
Solana treasury holding sold 50% Corporate treasury holding; proceeds were reallocated toward share repurchases
Rule 10b-18 safe harbor regulatory
"conditions of the SEC’s Rule 10b-18 safe harbor"
An SEC rule that gives corporate issuers a conditional “safe harbor” from liability under the anti‑market‑manipulation rule (Rule 10b‑5) when they repurchase their own shares on the open market, provided the buybacks follow specific procedural limits. To qualify the purchases must meet prescribed conditions on timing (restricted trading windows and not at the opening or close), manner (generally through a single broker or dealer without bidding), price (no higher than the highest independent bid or last transaction price), and maximum daily volume (a capped percentage of average daily trading volume); meeting those conditions creates a presumption that the repurchases are not manipulative but does not eliminate all legal exposure under other laws or facts outside the rule.
Rule 10b5-1 regulatory
"trading plans established under Rule 10b5-1"
Rule 10b5-1 is a regulation that allows company insiders to buy or sell their shares at predetermined times, even if they have access to non-public information. It acts like setting a schedule in advance for transactions, helping prevent accusations of unfair trading. This rule provides a way for insiders to plan trades transparently, giving investors confidence that these transactions are not based on hidden information.
blackout periods regulatory
"considering applicable blackout periods"
Blackout periods are specific times when employees, executives, or insiders are restricted from buying or selling a company's stock. These periods often occur around important announcements or financial reporting to prevent unfair advantage or insider trading. For investors, blackout periods matter because they can temporarily limit the ability to trade shares, affecting how and when they can respond to new information.
AUM financial
"26Q3 AUM in line with 25Q4 level"
Assets under management (AUM) is the total market value of investments that a financial firm or fund manages on behalf of clients. Investors watch AUM like the size of a shop: larger AUM can mean more fee revenue, greater market influence and perceived stability, while rapid changes in AUM signal growing popularity or redemptions that may affect future earnings and investment strategy.

Exhibit 99.1

CoinShares Board Approve $40 Million Share Repurchase Program

JERSEY, Channel Islands, 27th October 2026 - CoinShares PLC (Nasdaq: CSHR) (“CoinShares” or the “Company”) today announced that its Board of Directors has approved a program to repurchase up to $40 million of the Company’s ordinary shares, pursuant to the shareholder authority granted at the 15th of September 2026 Extraordinary General Meeting. The program will remain authorised until the Company’s next Annual General Meeting, expected in Q2 2027.

The program will be funded from existing digital asset treasury resources. In preparation, CoinShares sold its corporate treasury holding of Ethereum (16.6million) and 50% of its corporate treasury holding of Solana (2.7 million) earlier this month, reallocating that capital towards share repurchases.

The Board believes that, given current valuation levels, with the Company’s 26Q3 AUM in line with 25Q4 level, repurchasing CoinShares shares represents a more attractive use of this capital than retaining the corresponding digital asset holdings. The program reflects confidence in the Company’s earnings potential and is intended to enhance long-term shareholder value, while preserving sufficient liquidity to fund operations and pursue its growth strategy.

Repurchases will be conducted in the open market, considering applicable blackout periods, via independent brokers, in accordance with applicable law and the conditions of the SEC’s Rule 10b-18 safe harbor, and may be effected through trading plans established under Rule 10b5-1.

The timing and amount of repurchases will depend on market conditions and other relevant factors. The program does not oblige the Company to repurchase any minimum amount and may be suspended or discontinued at any time.
