Rhea-AI Filing Summary

CVR Energy (CVI) completed an underwritten public offering of 10,515,248 shares of common stock at $47.55 per share; it closed November 5, 2026. Net proceeds to the company were approximately $490.0 million after underwriting discounts and commissions and before offering expenses payable by the company. Underwriters received a 30-day option to purchase up to 1,577,287 additional shares at the public offering price, less discounts and commissions. The offering did not include shares from IEP Energy Holding LLC, the selling stockholder named in the preliminary prospectus supplement.

CVR Energy intends to use the proceeds, together with cash on hand and proceeds from other related financing transactions, to finance the acquisition of the St. Paul Park and Mandan refineries and related marketing and logistics assets, redeem its 5.750% Senior Notes due 2028, and pay related fees and expenses. If the acquisition is not consummated, the company intends to use the proceeds for general corporate purposes.

Filing Explained

The share sale is complete; the acquisition and 2028 Notes redemption remain planned uses, not completed steps.

CVR Energy completed the sale of 10,515,248 common shares on November 5, 2026, increasing the share count and reducing existing holders’ percentage ownership, absent offsetting changes.

The filing states that neither the offering nor the acquisition was conditioned on the other’s completion.

underwriting discounts and commissions financial
"after deducting underwriting discounts and commissions"
Underwriting discounts and commissions are fees paid to financial institutions that help sell new securities to investors. They act like a commission for their role in connecting companies with buyers, often reducing the amount of money the issuing company raises. For investors, understanding these costs helps gauge how much of their investment is going toward the actual securities versus fees paid to middlemen.
automatic shelf registration statement regulatory
"pursuant to the Company’s automatic shelf registration statement"
An automatic shelf registration statement is a pre-approved filing that companies submit to securities regulators, allowing them to sell new shares or bonds quickly and efficiently when needed. It acts like a standing permit, enabling the company to raise money without going through a lengthy approval process each time, which can be helpful for responding promptly to market opportunities or needs. For investors, it provides transparency about the company's ability to raise funds and signals planning flexibility.
joint book-running managers financial
"Barclays and Jefferies are acting as the joint book-running managers"
Joint book-running managers are the lead banks or financial firms responsible for organizing and overseeing the sale of a large financial offering, such as a company’s stock or bonds. They coordinate efforts to set the price, attract investors, and ensure the offering is successful. Their role is important to investors because they help ensure the offering is well-managed, properly priced, and accessible to a wide range of buyers.
customary closing conditions regulatory
"subject to customary closing conditions"
"Customary closing conditions" are standard rules or checks that must be met before a business deal can be finalized, like making sure all paperwork is in order or that certain approvals are obtained. They matter because they help protect both parties, ensuring everything is in place and reducing the risk of surprises or problems after the deal is closed.
