On September 2, 2026, the Board of Directors of Citizens Community Bancorp, Inc. (the “Company”) approved a new share repurchase authorization for the repurchase of up to 482,500 shares of the Company’s common stock through September 1, 2027. The new authorization effectively replaces the July 2025 share repurchase authorization for the repurchase of up to 499,000 shares of the Company’s common stock, under which there were 112,867 shares remaining available to be repurchased at the time of such authorization’s July 23, 2026 expiration. Under the new authorization, repurchases may be made from time to time, on the open market, in accordance with the terms of Exchange Act Rule 10b-18. Shares may be repurchased through the use of trading plans intended to qualify under Exchange Act Rule 10b5-1. The repurchase authorization may be amended or terminated by the Company’s Board of Directors at any time without prior notice. The timing and amount of any share repurchases under the new authorization will be determined by management and will depend on a variety of factors, including price, general business and market conditions, and other investment opportunities. The new share repurchase authorization does not obligate the Company to repurchase any shares of its common stock.
