Consolidation financial
"Common Shares will consolidate on a 1-for-25 basis"
Consolidation is a period when a stock’s price moves within a relatively narrow range, reflecting a balance between buyers and sellers after a prior rise or fall. It matters to investors because it often signals a pause before the next meaningful move — like a coiled spring — and helps with timing trades, setting risk limits and deciding whether momentum will resume upward or reverse downward.
fractional interest financial
"fractional interest resulting from the Consolidation"
convertible securities financial
"any of the Company’s outstanding convertible securities"
Convertible securities are bonds or preferred shares that can be exchanged for a company’s common stock at a predetermined price or under specified conditions. They matter because they combine the steadiness of a loan or fixed dividend with the potential upside of ownership; like a safety‑net that carries a one‑time ticket to become a shareholder, they affect expected returns and can dilute existing stock if converted.
beneficial holders financial
"No action is required by beneficial holders"
Beneficial holders are the people or entities who actually enjoy the economic rights of shares—such as dividends, price gains and voting power—even when the shares are registered in someone else’s name (for example a broker or nominee). For investors, knowing who the beneficial holders are matters because large or concentrated beneficial ownership can influence company decisions, trading liquidity and the outcome of votes or takeover offers, similar to knowing who truly controls a group even if someone else holds the paperwork.
Split Ratio 1-for-25 reverse split

Positioned for Tier-One U.S. Capital Markets

To optimize the Company’s capital structure and satisfy U.S. national securities exchange minimum share price criteria, the Company’s issued and outstanding Common Shares will consolidate on a 1-for-25 basis (the “Consolidation”).

Subject to final regulatory approval from Cboe Canada Inc. (“Cboe”), the Consolidation is scheduled to take effect on October 29, 2026 (the “Effective Date”). Post-Consolidation Common Shares are expected to commence trading on Cboe at market open on or about October 29, 2026, maintaining the existing ticker symbol “CZZL”. No fractional Common Shares will be issued in connection with the Consolidation. Any fractional interest resulting from the Consolidation will be rounded down to the nearest whole Common Share. The exercise or conversion price and the number of Common Shares issuable under any of the Company’s outstanding convertible securities will be proportionately adjusted in connection with the Consolidation.

Registered shareholders holding their Common Shares in book-entry or direct registration system form will have their pre-Consolidation Common Shares automatically exchanged for post-Consolidation Common Shares on the Effective Date and will not be required to take any action. Registered shareholders holding physical share certificates will receive separate instructions from Odyssey Trust Company, the Company’s transfer agent, regarding the exchange of their Common Shares. No action is required by beneficial holders to receive post-Consolidation Common Shares in connection with the Consolidation. Beneficial holders who hold their Common Shares through an intermediary and who have questions regarding how the Consolidation will be processed should contact their intermediary.
