On August 12, 2026, Yadin Rozov notified Dave Inc. (the “Company”) of his decision to resign, for personal reasons, from the Board of Directors (the “Board”) of the Company, effective immediately. Mr. Rozov's decision to resign was not related to any disagreement with the Company on any matter relating to its operations, policies or practices.

The Board and Company thank Mr. Rozov for his service and contributions to the Company during his term as a director.
